PRA-designated Investment Firm

A regulatory classification for systemically important investment firms designated by PRA, not a licence that an ordinary investment applicant can choose for itself.

A regulatory classification for systemically important investment firms designated by PRA, not a licence that an ordinary investment applicant can choose for itself.

An PRA-designated investment firm is a regulatory classification established under statutory conditions and a formal decision by PRA, not a large brokerage licence that a business can purchase or choose for itself. Designated firms become subject to dual regulation: prudential supervision by PRA and conduct supervision by FCA. Prudential materials are prepared under the applicable CRR and PRA frameworks. Designation, firm permissions, individual functions and changes in control each have their own procedures. Capital, governance, trading systems and UK substance must match the actual business; neither the prudential template for an ordinary FCA investment firm nor a single FCA approval replaces all requirements. Information checked as at 2026-11-07; this does not guarantee approval, fees or actual office premises.

This entry applies to investment firms meeting the conditions of the PRA-regulated Activities Order and formally designated by PRA. Eligibility for designation first involves holding or applying for permission for dealing in investments as principal, but statutory exclusions and the designation decision must still be checked. Proprietary trading, market-making or underwriting do not in themselves mean that all operators are prudentially regulated by PRA. Once designation takes effect, the firm is a PRA-authorised person subject to CRR, while FCA remains responsible for applicable investment conduct and client protection regulation.[16] [300]

Designation policy considers the assets of the firm and eligible investment firms in the same group, as well as the importance of the firm’s income, balance sheet and risk-taking to the PRA group. Average total assets over four quarters exceeding £15 billion is a policy reference factor, not a capital requirement or automatic designation threshold; PRA also assesses complexity, interconnectedness, substitutability, clearing services and booking models. Group or systemic importance risks may exist even below the reference value. Neither the EU Class 1 label nor the £30 billion figure can replace a UK designation decision.[300]

Designation does not automatically add permissions for deposit-taking, custody, fund management or other activities, nor does it confer an EU passport. UK legal entities, UK subsidiaries of overseas groups and UK branches of overseas legal entities must each confirm regulatory applicability. The international group requirements in SS5/21 apply to the entities specified there; its cross-border booking requirements separately apply to qualifying UK-headquartered designated investment firms. The full set of international branch rules must not be applied to every UK legal entity.[7] [301]

Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.

  • Formal designation clarifies prudential responsibilities and supervisory boundaries for significant investment firms. PRA can assess safety and soundness in light of individual, group and cross-border risks, while FCA continues to assess investment conduct and customer protection. This is an allocation of regulatory responsibilities, not a quality rating, a guarantee of returns or a preferential regime that firms can freely choose.[300] [301]

  • Within its current Part 4A permission, investment types, client categories and restrictions, a firm may conduct authorised own-account dealing, market making, underwriting and related investment services. Counterparty due diligence should check the authorised legal entity and actual permissions, rather than looking only at PRA designated status; adding other activities still requires the appropriate separate variation process.[4] [304]

  • Groups within the scope of SS5/21 may demonstrate commercial reasons for centralised trading and cross-border booking arrangements, but must have transparent risk allocation, entity-level data, substantive UK oversight and appropriate controls. Group integration is not a basis for exemption from local responsibilities, nor does it mean PRA will necessarily accept a particular branch or remote trading model.[301]

  • First prepare a regulatory classification and permissions statement listing the legal entity, existing or pending permissions to deal as principal, other eligible investment firms within the group, and asset and risk information. Confirm with PRA and FCA whether designation, initial authorisation or a supervisory transfer of an already authorised entity is involved. Do not assume that PRA classification has been resolved merely by submitting an ordinary FCA securities business application.[300]

  • The business plan should explain trading products, customers, revenue and funding sources, and identify clearing member, counterparty, custody and settlement relationships. Map trade origination, execution, booking, risk transfer, margin and fund flows to the actual legal entities to demonstrate that intragroup transactions and cross-border arrangements do not obscure UK risks. Implement SS5/21 booking requirements within their applicable scope.[300] [301]

  • Continue meeting each regulator's threshold conditions. For PRA, demonstrate prudent operation, financial and operational resources and effective supervision; for FCA, demonstrate the business model, personnel and applicable conduct controls. Overseas groups must also demonstrate home-state supervisory cooperation, access to group risk information and applicable recovery and resolution arrangements, rather than merely providing group support commitments.[301]

  • The board must be able to challenge business and risk decisions effectively. Establish risk appetite, trading and counterparty limits, independent valuation, compliance and internal audit arrangements proportionate to the scale and complexity of the business, and specify the UK entity’s or branch’s information rights, participation rights and escalation routes within group committees. Outsourcing or centralised group management does not transfer the authorised entity’s responsibility.[301]

  • Capital and liquidity analysis uses the CRR/PRA regime and individual requirements applicable to the company, explaining the standalone, group or branch basis, capital quality, buffers, stress and funding dependencies. Confirm with PRA the internal capital adequacy assessment ICAAP, internal liquidity adequacy assessment ILAAP and related supervisory information to be submitted. Prudential calculations for another type of investment firm cannot be used as a substitute.[300] [301]

  • FCA conduct obligations apply according to actual permissions, financial instruments, clients and business. Client classification, suitability or appropriateness, conflicts of interest, execution and promotions governance must be implemented. Where client assets are involved, CASS must be analysed separately; where trading or derivatives are involved, UK MiFIR and UK EMIR must each be analysed. PRA prudential designation does not exempt firms from these obligations.[2] [23] [10] [11] [12] [30]

  • Systems must enable traceability of orders, transactions, positions, collateral and entity-level risks, with independent review, exception escalation, access controls and business continuity. Cross-border models subject to SS5/21 must also demonstrate that disruptions to important services and group systems will not leave UK risks uncontrolled, and prepare recovery, resolution and trading activity wind-down materials under the applicable rules.[301]

Controllers, shareholders and the ultimate group chain should be fully disclosed. For a proposed acquisition or increase of control over a UK-authorised legal entity, identify direct and indirect holdings, voting rights, joint control, significant influence and becoming a parent undertaking; apply to PRA under the applicable regime and coordinate the FCA review. For a UK branch of an overseas legal entity, check the different scope of notification requirements rather than mechanically applying UK-entity shareholding approvals to an overseas acquisition.[17] [18] [302]

Personnel arrangements follow the SM & CR framework for dual-regulated firms, rather than copying the Core, Enhanced or Limited Scope categories for ordinary investment firms regulated solely by FCA. Actual management activities should be mapped to the respective senior management functions, application and consent arrangements of PRA and FCA. Prepare individual statements of responsibilities and maintain management responsibilities maps and allocations of prescribed responsibilities under the applicable rules. Whether functions such as chief executive, finance, risk, operations or group entity senior manager apply depends on actual duties and the institution’s structure; do not invent uniform role or headcount requirements for every firm.[20] [303] [301]

UK management and control teams must have the competence, authority and time commitment to address product risks, valuation, financing, compliance and anti-money laundering issues. The board and control functions should be able to access transaction and group information and challenge independently. Part-time or concurrent group roles must be shown not to leave gaps in responsibility or create unmanageable conflicts of interest. International groups should assess whether overseas individuals with substantive influence fall within group entity SMF and document booking oversight responsibilities within the scope of SS5/21.[301] [303]

Evidence of experience, integrity, competence and financial soundness must match the function applied for. Relevant individual applications may require a regulatory interview. Fitness assessments for certification staff, conduct rules training and subsequent notifications are handled separately under current rules. Not all directors, shareholders or employees are subject to the same Form A application, and neither UK nationality nor a uniform fixed length of experience is required. Use the PRA and FCA rules and forms applicable in 2026; reforms awaiting implementation must not be treated as already removing obligations relating to individuals.[20] [21] [303]

This entry does not provide a uniform capital amount, capital ratio or purported funding threshold for buying a licence. The PRA designation policy expressly makes designated firms subject to CRR. This company's initial and ongoing resources must be calculated under the applicable CRR, PRA Rulebook, group structure and individual regulatory decisions; the general FCA capital tier for dealing as principal cannot establish that resources are sufficient.[300]

UK-incorporated entities should distinguish the quality of and deductions from eligible capital, applicable Pillar 1 risk capital, Pillar 2 individual requirements and buffers, and verify the applicability of leverage, liquidity and large exposure requirements. Capital analysis should cover actual credit, market, counterparty and operational risks; liquidity analysis should cover margin, collateral, funding disruption and stressed cash needs. Specific calculation methods, ratios, exemptions and returns should follow the rules applicable to the firm and the outcome confirmed by PRA. This discussion does not import buffer calibrations or minimum capital figures for new bank projects as uniform requirements for designated investment firms.[300] [301]

Confirm with PRA the information requirements for solo, consolidated and internal capital and liquidity assessments, and align the assessments, business forecasts, risk data and evidence of capital funding. For UK subsidiaries of overseas groups covered by SS5/21, group support cannot replace their own financial resilience. Parent borrowing to fund capital injections, dividends used for debt servicing and intragroup exposures must also be assessed. Overseas branches should be assessed separately on a whole-legal-entity basis, home-state prudential supervision and applicable UK requirements, rather than copying the subsidiary capital basis.[301]

Recovery and resolution strategies, MREL and resources for exiting trading activities should be included only to the extent actually applicable; MREL must not be presented as a fixed additional amount for every designated firm. Where capital instruments or special regulatory treatment are proposed, check the required permissions separately. Unfulfilled funding commitments, non-transferable group funds and client assets cannot directly be treated as prudential resources available to the firm.[301]

Specify the headquarters, registered office and UK business address of the applicant or designated legal entity, and the actual locations of its board, trading, risk, compliance and data management functions. A registered address or mail forwarding alone does not demonstrate that the firm can be effectively supervised; UK management must have access to information and be able to make decisions within the firm's responsibilities. Specific premises and staffing arrangements must be confirmed according to legal form, business scale, the conditions of both regulators and individual requirements; there is no universal London address, leased floor area or local headcount threshold.[1] [301]

Overseas groups or cross-border booking models must explain the different status of UK subsidiaries and branches and demonstrate entity-level risk allocation and substantive UK oversight. SS5/21 pays particular attention to models that move all trading staff overseas while leaving risk in the UK; centralised or remote booking requires proportionate evidence and controls. Use of group offices or outsourced services may be justified, but a correspondence address cannot conceal the absence of actual management.[301]

This material has not verified actual premises, leases, bank accounts or personnel taking up their posts. Preparatory plans should be disclosed separately from established facts; office resources yet to be secured must not be described as already meeting regulatory conditions.

  • Regulatory classification and designation information pack: identify the legal entity and dealing-as-principal permissions, provide a list of qualifying investment firms within the group, asset data for four quarters, and analysis of income and risk significance, and attach existing regulatory decisions, designation notices and relevant correspondence. Clearing services, business complexity and booking models should be verifiable; a single asset figure must not replace a comprehensive designation analysis.[300]

  • Legal entity, controller and transaction structure information: company or branch registration, constitutional and governance documents, group and control-chain charts, shareholding and voting arrangements, shareholder agreements, and evidence of controllers' identities and sources of funds. For a proposed acquisition or restructuring, also prepare the applicable PRA change in control notification and pre- and post-transaction structure information; ordinary corporate beneficial ownership registration cannot replace these.[17] [18] [302]

  • Regulatory business plan and permissions matrix: describe the business by product, service, client and geography, listing income, costs, funding, clearing, custody and key counterparties, with explanations of fund flows and transaction lifecycles. Identify the forms and attachments required separately for initial authorisation, changes to existing permissions and designation-related migration, with the specific submission route confirmed by both regulators.[300] [304]

  • PRA prudential information: prepare evidence on capital quality and risk-based needs, liquidity, stress scenarios and funding according to the actual scope of CRR/PRA applicable to the legal entity and group, explaining how individual regulatory requirements and buffers are implemented. Confirm the required ICAAP, ILAAP, forecast granularity and reporting basis with PRA, and provide evidence of management review and applicable board approval. For overseas branches, instead prepare corresponding information for the entire legal entity and UK operations, rather than mechanically copying a UK subsidiary template.[300] [301]

  • Governance and personnel documentation: organisational chart, board and committee responsibilities, risk appetite and limits, independent risk, compliance and internal audit arrangements, an explanation of SMF applicability, statements of responsibilities and an applicable management responsibilities map. Prepare career histories, fitness assessments, references and checks under current personnel rules. Clearly distinguish firm applications, individual function applications and controller notifications.[20] [21] [303] [301]

  • Trade booking and group arrangements: within the applicable scope of SS5/21, submit booking policies approved by the relevant UK governance bodies, allocation of responsibilities between entities and branches, intragroup risk transfer and hedging arrangements, trading authorisations, independent reviews and entity-level data. Remote or split trading desks must also explain responsible managers, staff locations, risk limits and escalation routes, demonstrating that actual operations comply with policy.[301]

  • FCA conduct materials: prepare client agreements, client classification and suitability or appropriateness processes, conflicts of interest, execution, fee disclosure, promotions and complaints controls according to the actual investment business. When holding or controlling client assets, separately explain the applicability of CASS, banking and custody agreements, ownership, segregation, reconciliation, and applicable audit and reporting arrangements. Pure proprietary trading should not be unconditionally described as necessarily involving the holding of client assets.[2] [23] [10]

  • Systems and reporting materials: transaction and position records, valuation and risk data sources, reporting scope and responsibilities under UK MiFIR and UK EMIR, data quality checks, information security, outsourcing contracts and continuity testing. The two transaction reporting regimes must be kept separate. Delegated reporting agreements do not remove the firm’s applicable verification and error-correction responsibilities.[11] [12] [30] [301]

  • Group supervision and recovery and resolution information: entities covered by SS5/21 should provide, as required, information on home-state supervisory cooperation, parent and group finances and operational resilience, support capacity and legal barriers, group recovery plans and applicable resolution information. Specify which information the company provides and which must be obtained through supervisory cooperation; do not promise that the applicant can issue supervisory conclusions on behalf of the home-state regulator.[301]

  • Regulatory migration and implementation plan: specify the effective date of the designation notice, permissions and personnel matters, prudential data migration, reporting schedules, policy and system transitions, and the owners of matters not yet implemented before the effective date. Submission channels, form versions and fees should be confirmed for each relevant matter; the document checklist provides an organisational route, not an unconditional requirement for every attachment for every legal entity and procedure.[300] [303] [304]

This is provided as a reference for organising the project; it cannot replace current official application forms or case-specific requests for additional materials. Please do not send identity documents or customer records through website forms.

  • First confirm the legal entity, activity permissions and designation conditions, distinguishing a new application, designation of an already authorised firm and changes to an existing dual-regulated firm. Agree the case lead, allocation of information responsibilities and applicable regime with PRA and FCA. Designation is not a general brokerage licence that applicants may choose for themselves.[300]

  • Organise business, prudential, governance and conduct information around the actual group and trading model, and put personnel, capital funding, trading data and substantive UK management in place. Cross-border booking or group reliance covered by SS5/21 should be explained early, rather than discovering only after designation takes effect that entity-level risk and home-country supervision information cannot be provided.[301]

  • Where a designated decision is involved, address the reasons, effective date and rights to make representations in accordance with the PRA notice. The policy generally provides 28 days to make representations and explains rights of recourse to the Upper Tribunal. Follow the case notice and applicable procedures, rather than treating the representations window as an ordinary request for additional application documents or as approval already granted.[300]

  • Applications for firm permissions and individual functions are submitted through their respective official channels. Firm authorisation decisions for which PRA is responsible require the corresponding consent of FCA; FCA independently assesses its own conditions. A firm already holding Part 4A permissions should not assume that designation alone requires it to repeat the full new-bank process. Specific additional or amended permissions must be confirmed separately under the PRA/FCA procedure; individual SMF matters are also handled separately.[301] [303] [304]

  • The two regulators separately review prudential, controller, personnel, conduct and operational matters within their responsibilities and may request explanations, interviews, additional information or revised arrangements. Maintain coordinated responses and version records to ensure that risk explanations to PRA are consistent with customer, transaction and asset explanations to FCA. One regulator's acceptance of a document does not imply the other's agreement.[301] [303]

  • Before designation or authorisation takes effect, check the formal notice, single Part 4A permission, restrictions, individual requirements and outstanding matters, and implement prudential reporting and staffing arrangements. Business may be conducted only when the relevant permissions and conditions are effective; the usual designation transition period must not be treated as permission for unauthorised trial operations.[300] [304]

  • After commencement, maintain capital, liquidity, governance and applicable recovery and resolution information on an ongoing basis under the PRA supervisory and reporting plan, while maintaining FCA conduct, client asset, trading and financial crime controls. Future changes to business, booking, personnel and the group must follow the respective notification, approval or VoP processes; initial designation does not replace subsequent procedures.[301] [302] [303] [304]

The timing of designation taking effect, firm permissions, individual functions and control matters must be calculated separately. Paragraph 6.2 of SoP1/13 explains that a PRA designation notice normally gives the firm 28 days to make representations, with designation normally taking effect six months after the notice is issued. It may take immediate effect where appropriate; the notice in the individual case governs. These six months are the usual interval between the designation decision and its taking effect, not guaranteed approval within six months of the first consultation, nor a fixed preparation period that all newly established institutions must wait.[300]

If authorisation of a firm under Part 4A is also involved, the text of section 55V of FSMA obtained in the existing checks still provides for a decision within six months for a complete application and within twelve months of initial receipt for an incomplete application. This statutory decision period differs from a designated transitional period, project preparation period and a particular regulator’s accelerated service target. Targets for ordinary FCA investment firms cannot automatically be promised for PRA/FCA dual-regulated cases, nor can it be claimed that every enquiry automatically stops the clock.[29]

An applicable Section 178 control notification normally has a sixty-working-day assessment period from the date it is deemed complete, with separate statutory arrangements for information-related interruptions. Individual senior management functions follow separate timelines under the relevant PRA/FCA regime and current rules, and are not combined with the designation decision. Group information cooperation, capital instruments, personnel, data and systems readiness each need separate scheduling; this entry provides no uniform preparation period in months, approval success rate or guaranteed opening date.[17] [302] [303]

A proposed acquisition, increase in control or crossing of an applicable control threshold in a UK-authorised designated investment firm requires prior application to PRA and coordination of FCA review, checking direct and indirect control, becoming a parent undertaking and significant influence. The 10%, 20%, 30% and 50% thresholds for MiFID investment firms apply according to their regime. Inserting a holding company may create a new controller even if the ultimate controller remains unchanged. Reducing control to a lower threshold or ceasing control generally requires prior notification rather than approval to reduce the holding; applicability to branches of overseas legal entities must be checked separately.[17] [18] [302]

For senior management appointments, departures, changes in responsibilities and changes in group influence, first assess the relevant SMF approval, consent and notification requirements, and update statements of responsibilities and any applicable management responsibilities map. Ordinary director registration, individual function approval and controller approval are distinct matters. Registration with Companies House or personnel filing with one regulator cannot replace the procedures required by another.[20] [21] [303] [301]

Adding activities, customer categories or investment types, removing restrictions or adjusting the business scope requires an assessment of whether the single Part 4A permission requires VoP, handled through the applicable allocation of responsibilities under PRA/FCA. Assess CRR/PRA prudential resources and FCA conduct, client asset and transaction reporting requirements at the same time; approval of control does not constitute approval of a new business model.[304] [11] [30]

Material booking arrangements, remote trading, trading-desk splits or transfers of group risk management covered by SS5/21 should be discussed with PRA as early as possible, providing the commercial rationale, scale, staff locations and impacts on governance and risk controls. Notifications should be made under applicable rules, and policies reapproved by the relevant UK governing bodies. Withdrawal of designation is decided by PRA under its policy and notification procedures. A decline in assets, sale or split does not allow a firm to stop PRA reporting itself or automatically return to sole prudential supervision by FCA.[300] [301]

Ongoing prudential compliance should use the CRR/PRA capital, liquidity, exposure and reporting regimes applicable to the firm, establishing calendars, responsible persons, reviews and correction mechanisms on a solo, consolidated or branch basis. Continually check individual regulatory requirements, stress conditions and funding resources, and update internal capital and liquidity assessments and recovery and resolution information as applicable. The prudential reporting package for ordinary FCA investment firms cannot simply be inherited, nor can it be assumed that annual reporting suffices for all information.[300] [301]

The board and senior managers must continuously oversee risk appetite, positions, margin, valuations, counterparty and intragroup risks. Entities covered by SS5/21 should maintain entity-level booking data, group oversight information and evidence of support capabilities, and discuss material changes in advance. During market or group stress, the frequency and scope of information such as liquidity and profit and loss may need to increase. Regularly test disruptions to critical services, outsourcing and group systems, and follow up findings from independent risk, compliance and internal audit.[301]

FCA conduct regulation continues to apply. Maintain client classification, investment assessment, execution and promotions controls according to the services actually provided; where client money or securities are involved, implement CASS ownership, segregation, reconciliation and applicable independent audits. CMAR is submitted monthly only where the corresponding CASS category applies, within fifteen working days after the reporting period ends, and must not be conflated with prudential returns or the company’s financial audit.[2] [23] [10]

For UK MiFIR transaction reporting, first determine the applicable financial instruments and scope of transaction execution; qualifying transactions must be reported no later than the end of the next working day. The MDP, ARM or trading facility route may be used in accordance with the rules, with completeness, accuracy and timeliness checked. Derivatives reporting, clearing and uncleared risk mitigation under UK EMIR must be assessed separately; PRA designation does not remove these FCA market regulatory obligations.[11] [12] [30]

Maintain applicable SMF responsibilities and responsibilities maps, certified staff fitness, training and notifications, and handle personnel changes under current rules. Continue customer and beneficial owner verification, sanctions and transaction monitoring for financial crime purposes, distinguishing NCA suspicious activity reports from FCA market abuse reports. Check each regulator’s current fees and applicable levies separately; consultancy fees or acquisition prices must not be treated as annual regulatory fees.[20] [21] [32] [41] [42] [301]

PRA keeps designation status under ongoing review. Firms should provide accurate information when their business, group assets or risk significance changes. They may follow the new prudential route only after formal withdrawal and completion of the applicable regulatory transition; they must not unilaterally cease complying with PRA obligations because assets have fallen below a policy reference value.[300]

Before acquisition, verify the target's authorised legal entity, FRN, current Part 4A permissions, restrictions on customer and investment types, PRA designation notices and individual requirements. Obtain regulatory correspondence with PRA and FCA, remediation and historical filings. Distinguish whether the transaction purchases shares in a UK legal entity, control at group level or an overseas legal entity. A UK branch is not an independently transferable legal-entity licence; separately check the applicability of UK notifications to overseas acquisitions.[17] [302] [301]

The buyer should seek applicable Section 178 approval from PRA based on the actual control structure and coordinate with FCA, disclosing sources of funds, acquisition financing, proposed management and post-completion business. Control, necessary individual functions, permission changes and other applicable regulatory approvals should be separate conditions precedent to completion. A single FCA consent or company registration must not be treated as completion of all formalities.[17] [18] [302] [303] [304]

Prudential due diligence should review eligible capital and deductions, risk capital, individual requirements and buffers, and the applicability of liquidity, leverage and intragroup exposures under the target's actual CRR/PRA framework, and compare these with internal capital and liquidity assessments, supervisory feedback and historical data. Specific checks should cover valuation, positions, margin, clearing and counterparty risk, and assess how debt-funded capital injections by the parent, dividends and transaction financing affect the target's own resilience; this does not mean switching to the capital calculations for ordinary FCA investment firms. Where necessary, separately verify the applicable recovery and resolution strategy and loss-absorbing resources.[300] [301]

For targets covered by SS5/21, check whether cross-border booking, trading desks and UK personnel are consistent with policies and actual data, and whether group systems, outsourcing and home-state supervisory information can continue after completion. A change of group, migration of trading or reduction in UK management following acquisition may alter the designation and effective-supervision assessment. The target's previous designation cannot be taken to mean that the new group structure will necessarily be accepted.[300] [301]

On the FCA side, conduct business-specific sample checks of client asset balances and ownership, reconciliation and audit deficiencies, transaction reporting, client classification, complaints and potential compensation. Transaction documents should allocate historical liabilities and retain resources for remediation. A share sale does not transfer permissions to another legal entity of the buyer; a sale or split may be a factor in PRA reconsidering designation, but withdrawal still requires a formal process. This entry makes no promises regarding the availability of an acquisition target, transaction price, valuation or approval outcome.[10] [11] [30] [300] [304]

View the complete process for acquiring a licensed company

The following are specific permissions, organisational models or statutory categories covered by this topic. They do not necessarily each constitute a separate financial licence.

Is a large transaction volume or proprietary trading alone enough to apply for this PRA licence?+

This is not the correct interpretation. Statutory eligibility for designation must first be met, after which PRA makes a formal designation under its policy and on the individual facts. Permission to deal as principal does not confer automatic designation. PRA and FCA are responsible for prudential and conduct supervision respectively; the firm's activity permissions must still be checked individually.[300] [301]

Is £15 billion or £30 billion a uniform capital threshold?+

No. The four-quarter average total assets of £15 billion in the policy are a reference factor for designation, not regulatory capital or an automatic designation threshold. The UK cannot substitute EU Class 1 or the £30 billion figure for a PRA decision. Following designation, capital is calculated under the applicable CRR/PRA regime and individual requirements; this entry provides no uniform amount.[300]

Can the materials still use the prudential template for ordinary FCA investment firms?+

It cannot serve as a substitute. Capital, liquidity, stress, governance and group-risk information should be prepared on the applicable CRR/PRA basis, and the required ICAAP, ILAAP and supervisory annexes confirmed. Applicable FCA client assets and conduct-of-business materials must still be prepared. Prudential and conduct responsibilities cannot be conflated into one calculation or a single approval.[300] [301] [11] [30]

Does an application only require obtaining FCA approval through Connect?+

No. First distinguish designation decisions, firm authorisation or VoP, individual SMF and change-in-control matters, and submit through their respective channels in accordance with the division of responsibilities under PRA/FCA. Designation of a firm that already holds permissions does not allow the new-bank process to be replicated unconditionally. The applications required and supervisory transition arrangements must be confirmed for each case.[300] [303] [304]

Is commencement of business guaranteed six months after the designation notice?+

No. The policy’s usual six months concerns the period between designation notification and its taking effect. There is normally also an opportunity to make representations within 28 days, and designation may take effect immediately where appropriate. Firm permissions, individual functions, capital and systems readiness must each still meet the requirements; approval or an opening date is not guaranteed.[300] [29]

Are personnel still assigned using the Core or Enhanced checklist for ordinary FCA investment firms?+

It should not be copied wholesale. Statements of responsibilities, responsibilities maps and applications must reflect dual regulation by SM & CR and the actual allocation of PRA/FCA functions. Headcount and functions depend on size, complexity and governance. Group dual roles or overseas influence also require examination of the relevant responsibilities and conflicts of interest.[20] [303] [301]

Can group support and overseas trading teams replace effective management in the UK?+

This cannot be presumed. Entities covered by SS5/21 must demonstrate group support capacity and legal impediments, entity-level risk information, substantive UK supervision and appropriate governance. Extensive remote booking or moving all trading personnel abroad may require stronger evidence of controls; this material does not guarantee acceptance of any particular office or staffing arrangement.[301]

Can you immediately change the business and controllers after buying shares in the target?+

Applicable change-in-control approval must be obtained before completion, coordinating PRA and FCA. New permissions, SMF and material booking arrangements require separate assessment. A share acquisition is neither a licence transfer nor a blanket decision approving new business and a new group structure.[302] [303] [304] [301]

Does a decline in assets or sale of the company automatically revoke PRA designation?+

Withdrawal is not automatic. PRA reviews the position under its policy and issues a formal decision and notice. It is generally not inclined to withdraw a designation less than one year after designation, but a split or sale is an expressly stated policy exception. An exception does not mean automatic withdrawal, and the subsequent FCA prudential arrangements must be put in place separately.[300]

After PRA designation, are client assets and transaction reporting handled centrally by PRA?+

No. Applicable FCA conduct, client asset and market regulation continues to apply, and CASS, UK MiFIR and UK EMIR each apply according to the business undertaken. PRA prudential reporting cannot replace FCA transaction or client asset reporting, nor does it mean that all purely proprietary trading firms must hold client money.[10] [11] [12] [30] [301]
