Scope of applicable activities and entities
Suitable for associations, clubs, trade bodies and non-profit organisations primarily governed by members, with guarantee members rather than shares or shareholders. A guarantee structure does not itself constitute charity registration, nor does it automatically confer exemption from general corporation tax, VAT or sector licensing.[13] [22]

Formation conditions, personnel and governance for this entity
At least one guarantor and, as required for a private company, at least one natural-person director; the same person may fulfil both roles. Submit a statement of guarantee and appropriate articles, arrange a registered office, email address and identification of applicable controllers. Members’ voting or other control rights may trigger PSC, rather than relying solely on non-existent shareholding percentages.[2] [8] [13]
Capital, contributions and liability for this entity
There is no share capital. Each member undertakes to contribute an agreed guarantee amount if the company cannot pay its debts or is wound up. The commonly used GBP1 guarantee is not a uniform statutory figure for all companies, nor can the guarantee amount be treated as working capital already deposited in the company’s bank account.[13]
Address and genuine operations information
Ltd companies, PLC, CIC and companies limited by guarantee must have an appropriate registered office in their jurisdiction of registration. A company registered in England and Wales cannot move its registered office to Scotland merely using AD01. The registered office is public, but the registered email address is not. Directors may use a separate service address, but must still report their true usual residential address to Companies House as required; a false residence must not be reported for privacy reasons.[2] [7] [9]
Documentation and account-opening coordination for this entity
Company incorporation information includes the proposed name, jurisdiction of registration, an appropriate registered office address, registered email address and the SIC code for the actual business. A statement of lawful purpose, proposed directors' consent and filing authorisation should also be retained; a business plan alone cannot replace the information required by IN01.[2] [4] [10]
Director and PSC information includes names, dates of birth, nationalities, countries of residence, service addresses and actual residential addresses, with identity verification personal codes provided for applicable roles. One Login accepts eligible biometric passports and other documents from various countries. Different verification channels have different evidence requirements; applicants cannot all be required to obtain paper notarisation or publish full passport details online.[5] [6] [8]
Companies limited by guarantee should instead prepare a statement of guarantee and articles of association; there is no step involving registration of the guaranteed amount as share capital.[2] [13]
Business account application documents should cover entity registration documents, owners and controllers, signing authority, tax residence and evidence of genuine business activity. Supplement these with contracts, invoices, websites, expected payment countries and volumes, the source of the initial funds and an account-opening resolution as required by the institution. Before submission, verify the actual account-providing legal entity in the account agreement and its FCA permission. A brand name and UK sort code alone do not establish bank deposit status.[35] [37]
Establishment, registration and account application steps
Clarify whether the UK business is a newly established independent subsidiary, a partnership operation or direct business by an overseas parent, and confirm the actual regulated activities. Complete the responsibility and tax model before choosing the organisational form, to avoid discovering only after registration that limited partners' participation in management, CIC dividends or public fundraising arrangements are unsuitable for the project.[2] [12] [15]
Search the register for the proposed name, sensitive words and public information, and determine the registered address, email address and membership or share capital arrangements. Draft the articles or partnership agreement and confirm that each participant's actual rights are consistent with PSC filings; nominee shareholders must not be treated as the endpoint of ownership due diligence.[2] [8] [11]
Submit using the registration forms and channels currently applicable to the entity, checking certificates, status, roles and filing information; a PLC trading certificate, CIC community approval and PFLP designation cannot be replaced by an ordinary Ltd certificate.[2] [11] [12] [14] [16]
Timeframes and scheduling: assessed for the entity concerned
File confirmation statements, annual accounts and applicable HMRC returns under private company rules; not-for-profit status does not mean there are no taxable profits. If the company is also a CIC or a formally recognised charity, it must also comply with the reporting and distribution conditions of that status. Maintaining an ordinary company limited by guarantee registration is no reason to disregard additional requirements.[15] [22] [23]
Registration preparation, identity verification, translation and account-provider review require separate scheduling. Do not apply ordinary Ltd online processing guidance, FCA authorisation deadlines or any fixed account-opening date to this entity.[4] [5] [16] [35]
Governance, ownership and registration changes
Appointments and removals of directors, changes to personal details, and appointments and removals of secretaries generally must be reported to Companies House within 14 days of the change. New individual directors must complete applicable identity verification. Director termination filings should not simply distinguish individuals from corporate directors using TM01 and TM02 as two generic removal forms under the original guide; the current corresponding form must be used. A registered office address formally changes only upon registration by Companies House and cannot be moved directly across registration jurisdictions.[2] [9]
A company limited by guarantee has no shares. Changes to governance rights should be recorded by reference to members and the articles, and PSC filings concerning voting or other actual control rights should be checked. Share transfers or SH01 share allotments cannot substitute for changes in guarantee members.[2] [8] [13]
Annual maintenance and tax coordination for this entity
File confirmation statements, annual accounts and applicable HMRC returns under private company rules; not-for-profit status does not mean there are no taxable profits. If the company is also a CIC or a formally recognised charity, it must also comply with the reporting and distribution conditions of that status. Maintaining an ordinary company limited by guarantee registration is no reason to disregard additional requirements.[15] [22] [23]
Corporation tax: ordinary UK tax-resident companies pay tax on UK and overseas profits, while the UK branch of a non-resident parent company is treated by reference to its UK profits. Corporation tax is generally due 9 months and 1 day after the accounting period ends, and CT600 is due within 12 months; large companies have a separate instalment regime. A corporation tax accounting period cannot exceed 12 months. A longer first set of statutory accounts may therefore require two corporation tax returns. Making a loss does not mean that an issued notice to file can be ignored.[20] [22] [23]
Liability, acquisitions and service boundaries
Before acquiring a ready-made Ltd, PLC or LLP, check its legal status, complete filing history, membership or share ownership, PSC information, charges, debts and actual business activities. A so-called shelf company may still have tax arrears, account obligations or undisclosed guarantees. Buying a company registration number does not mean buying a freely usable bank account; account contracts, transaction mandates and customer checks may be reassessed following a change of controller.[7] [9] [35] [46]
For PLC, check the trading certificate, paid-up share capital and premium. For CIC, check the asset lock, community purpose and historical distributions; locked assets cannot be distributed as though it were an ordinary commercial company. For LLP or LP, review member admission, exit, profit and capital provisions and limited partners' conduct. The separate legal personality of SLP does not confer tax exemption. These special conditions should be included in transaction conditions precedent and completion documents, rather than merely changing the Companies House directors.[2] [11] [12] [15]
Company registration does not constitute financial authorisation, tax-exempt status or a guarantee of opening a bank account. Ordinary companies are not subject to uniform requirements for a FCA compliance officer, MLRO or financial capital; any authorisation required for the actual business must be checked separately.[2] [36] [46]
This page is communication material prepared for Ren Gang Yong Sheng (Hong Kong) Limited and business manager Tang Shangyong (Mr Tang). The qualifications of the actual identity verification, accounting, tax and audit providers should be verified separately; approval, account opening, prices and completion dates are not guaranteed, and the consultant's contact address is not the UK target company's actual office.[6] [35] [46]
Frequently asked questions
Does registration as a company limited by guarantee constitute a financial licence or tax-exempt status?+
Suitable for associations, clubs, trade bodies and non-profit organisations primarily governed by members, with guarantee members rather than shares or shareholders. A guarantee structure does not itself constitute charity registration, nor does it automatically confer exemption from general corporation tax, VAT or sector licensing.[13] [22] Company registration does not constitute financial authorisation, tax-exempt status or a guarantee of opening a bank account. Ordinary companies are not subject to uniform requirements for a FCA compliance officer, MLRO or financial capital; any authorisation required for the actual business must be checked separately.[2] [36] [46]
Can ordinary Ltd capital and annual maintenance arrangements be applied directly to this entity?+
There is no share capital. Each member undertakes to contribute an agreed guarantee amount if the company cannot pay its debts or is wound up. The commonly used GBP1 guarantee is not a uniform statutory figure for all companies, nor can the guarantee amount be treated as working capital already deposited in the company’s bank account.[13] File confirmation statements, annual accounts and applicable HMRC returns under private company rules; not-for-profit status does not mean there are no taxable profits. Maintaining an ordinary company limited by guarantee registration is no reason to disregard additional requirements.[15] [22] [23]
Is opening a bank account guaranteed after incorporation?+
No guarantee can be given. Company registration only proves that a legal entity exists; banks and payment institutions still independently assess owners, business, tax and sources of funds. Account products may also be provided by different legal entities. The FCA register and contracts should be checked, rather than relying solely on a sort code, brand or an agent’s advertised success rate.[35]
Must registration or notification of changes be handled through a “licensed company secretary”?+
No. Companies House allows eligible individuals to file for themselves, and an ordinary Ltd is not required to have a company secretary. Identity verification must be provided through a registered ACSP or an official channel. Under the 2026-10 official plan, mandatory identity verification for those filing on behalf of others and the ACSP requirement for third-party agents will apply no earlier than 2027-11. Future rules must not be presented as requiring all filings today to go through a particular type of secretary.[2] [6] [9] [10]
