Scope of applicable activities and entities
Suitable for overseas companies operating directly through a UK place of business or branch; the establishment is not a newly incorporated separate UK subsidiary. The overseas parent company bears liability arising from those operations. Registration with Companies House does not automatically approve UK operations by foreign banks, insurers or other regulated institutions.[16] [36]
Service scenarios and delivery examples
Typical needs
Overseas businesses planning a UK business presence need to assess physical presence, parent-company documents and the different requirements for an independent subsidiary.
Workstreams available for discussion
- Compile information on UK activities, business premises and parent company governance.
- Assess establishment registration, accounts and taxation separately from the sector-specific permissions involved in the business.
Verifiable deliverables
- Key points for comparing an establishment and a subsidiary
- Parent company and UK registration information checklist
- Schedule of account, accounting and tax coordination matters
The above are illustrative service scenarios explaining work that may be commissioned and delivery methods; they do not represent actual client projects. The actual scope, qualifications, fees and outcomes depend on the project facts and written engagement.
Formation conditions, personnel and governance for this entity
Where there is a qualifying physical UK business presence, OS IN01, the fee and applicable parent company constitutional documents and accounts must normally be submitted within one month of opening, with certified English translations of foreign-language documents. Overseas partnerships or unincorporated organisations cannot register directly through the overseas company route. Parent company directors must also complete currently applicable identity verification and annual confirmation requirements.[6] [16]
Capital, contributions and liability for this entity
There is no uniform minimum share capital for a UK establishment. The parent company’s capital and funding arrangements for UK operations depend on its legal regime and business needs. Branches of regulated financial institutions may face additional prudential conditions. The ordinary company establishment registration fee of GBP124 cannot replace capital or authorisation requirements.[3] [16] [36]
Address and genuine operations information
An overseas company generally needs UK establishment registration only if it has a certain physical presence in the UK, such as a place of business or branch. An independent agent or a director occasionally working from a hotel does not automatically constitute an establishment requiring registration; registration and permanent establishment for tax purposes must still be analysed separately.[11] [12] [16]
Documentation and account-opening coordination for this entity
For an overseas company establishment, submit OS IN01, certified copies of the parent company's constitutional documents and the latest accounts where applicable. Non-English documents must be accompanied by compliant certified English translations. The filing must also provide details of the parent company's directors, authority to represent it and persons authorised to accept service, and applicable director identity verification must be completed. The officially listed persons who may certify include the parent company's directors or secretary; notarisation by a UK solicitor is not universally required.[16]
Business account application documents should cover entity registration documents, owners and controllers, signing authority, tax residence and evidence of genuine business activity. Supplement these with contracts, invoices, websites, expected payment countries and volumes, the source of the initial funds and an account-opening resolution as required by the institution. Before submission, verify the actual account-providing legal entity in the account agreement and its FCA permission. A brand name and UK sort code alone do not establish bank deposit status.[35] [37]
Establishment, registration and account application steps

Clarify whether the UK business is a newly established independent subsidiary, a partnership operation or direct business by an overseas parent, and confirm the actual regulated activities. Complete the responsibility and tax model before choosing the organisational form, to avoid discovering only after registration that limited partners' participation in management, CIC dividends or public fundraising arrangements are unsuitable for the project.[2] [12] [15]
Select a bank deposit account or a payment or electronic money account according to business circumstances, and submit evidence of authorised signatories, ownership, tax status and funds flows. Assessment, successful account opening and multi-currency availability are determined by the actual provider; remote account opening for non-residents or approval within a fixed number of working days cannot be guaranteed. An overseas account does not change a UK company’s UK tax obligations.[22] [35]
Timeframes and scheduling: assessed for the entity concerned
Those required by home law to prepare, audit and disclose accounts generally submit them to Companies House within three months after the home-law disclosure deadline. Those outside this category generally file under the corresponding UK rules within 13 months after year-end, with special rules for the first period. The current overseas accounts processing fee is GBP50 for digital filing and GBP110 for paper filing. Changes to the UK establishment and parent company follow their 21-day rules. Separately check UK branch corporation tax and the OS DS01 notification for closing an establishment; do not apply uniform Ltd deadlines of CS01 and 9 months.[3] [16] [22]
Registration preparation, identity verification, translation and account-provider review require separate scheduling. Do not apply ordinary Ltd online processing guidance, FCA authorisation deadlines or any fixed account-opening date to this entity.[4] [5] [16] [35]
Governance, ownership and registration changes

Changes to an overseas company establishment generally must be reported within 21 days of the change. For parent-company matters, the corresponding 21 days run from the date the notification could reach the UK by appropriate post. These differ from the 14-day rule for a Ltd.[12] [16]

Corporation tax: ordinary UK tax-resident companies pay tax on UK and overseas profits, while the UK branch of a non-resident parent company is treated by reference to its UK profits. Corporation tax is generally due 9 months and 1 day after the accounting period ends, and CT600 is due within 12 months; large companies have a separate instalment regime. A corporation tax accounting period cannot exceed 12 months. A longer first set of statutory accounts may therefore require two corporation tax returns. Making a loss does not mean that an issued notice to file can be ignored.[20] [22] [23]
Liability, acquisitions and service boundaries
Before acquiring a ready-made Ltd, PLC or LLP, check its legal status, complete filing history, membership or share ownership, PSC information, charges, debts and actual business activities. A so-called shelf company may still have tax arrears, account obligations or undisclosed guarantees. Buying a company registration number does not mean buying a freely usable bank account; account contracts, transaction mandates and customer checks may be reassessed following a change of controller.[7] [9] [35] [46]
For PLC, check the trading certificate, paid-up share capital and premium. For CIC, check the asset lock, community purpose and historical distributions; locked assets cannot be distributed as though it were an ordinary commercial company. For LLP or LP, review member admission, exit, profit and capital provisions and limited partners' conduct. The separate legal personality of SLP does not confer tax exemption. These special conditions should be included in transaction conditions precedent and completion documents, rather than merely changing the Companies House directors.[2] [11] [12] [15]
Company registration does not constitute financial authorisation, tax-exempt status or a guarantee of opening a bank account. Ordinary companies are not subject to uniform requirements for a FCA compliance officer, MLRO or financial capital; any authorisation required for the actual business must be checked separately.[2] [36] [46]
This page is communication material prepared for Ren Gang Yong Sheng (Hong Kong) Limited and business manager Tang Shangyong (Mr Tang). The qualifications of the actual identity verification, accounting, tax and audit providers should be verified separately; approval, account opening, prices and completion dates are not guaranteed, and the consultant's contact address is not the UK target company's actual office.[6] [35] [46]
Frequently asked questions

Can ordinary Ltd capital and annual maintenance arrangements be applied directly to this entity?+

Is opening a bank account guaranteed after incorporation?+
No guarantee can be given. Company registration only proves that a legal entity exists; banks and payment institutions still independently assess owners, business, tax and sources of funds. Account products may also be provided by different legal entities. The FCA register and contracts should be checked, rather than relying solely on a sort code, brand or an agent’s advertised success rate.[35]
Must registration or notification of changes be handled through a “licensed company secretary”?+
No. Companies House allows eligible individuals to file for themselves, and an ordinary Ltd is not required to have a company secretary. Identity verification must be provided through a registered ACSP or an official channel. Under the 2026-10 official plan, mandatory identity verification for those filing on behalf of others and the ACSP requirement for third-party agents will apply no earlier than 2027-11. Future rules must not be presented as requiring all filings today to go through a particular type of secretary.[2] [6] [9] [10]
