Service scope and limits of applicability
Whether an audit is mandatory depends on the entity, size, business status, articles of association, group conditions and shareholder requirements. Accounts prepared by an accountant are not an independent audit, and an ordinary company-law audit is not the same procedure as a financial institution's client money safeguarding audit.[24] [25] [36]
Service scenarios and delivery examples
Typical needs
The entity needs to determine whether an audit or exemption applies and, where an audit is required, coordinate with a qualified independent provider.
Workstreams available for discussion
- Compile assessment materials on the entity, scale, business status, group and shareholder requirements.
- Check the actual auditor's qualifications and independence before coordinating evidence delivery, issues and reporting arrangements.
Verifiable deliverables
- Audit applicability questions and document checklist
- Key checks on actual engagement qualifications and the scope of the mandate
- Checklist for evidence delivery and accounting period handover
The above are illustrative service scenarios explaining work that may be commissioned and delivery methods; they do not represent actual client projects. The actual scope, qualifications, fees and outcomes depend on the project facts and written engagement.
Small-company size conditions and exceptions that must not be overlooked
Accounting and audit: for financial years beginning on or after 2025-04-06, the small company size test requires at least two of the following: turnover not exceeding GBP15,000,000, assets not exceeding GBP7,500,000 and average employees not exceeding 50. The corresponding micro-entity thresholds are GBP1,000,000, GBP500,000 and 10 employees. The size test does not exempt all financial companies from audit: public companies, banks, insurers, EMI and MiFID investment companies, among others, are subject to mandatory audit exceptions. The articles of association and requests from qualifying shareholders holding at least 10% may also trigger an audit.[24] [25]
Differences between PLC, LLP, CIC, overseas companies and partnerships
- Category
Public limited company (PLC)
Ongoing maintenanceSubsequent accounts for PLC must be filed within 6 months of the financial year end. First accounts covering more than 12 months are subject to the rule comparing 18 months with three months after the accounting reference date. Public companies generally require an audit and must hold the applicable annual general meeting; the audit exemption for small limited companies cannot simply be applied. The maximum standard late-filing penalty for a single year is GBP7,500, which may double for late filing in two successive years.[25] [26]
- Category
Limited liability partnership (LLP)
Ongoing maintenanceDesignated members are responsible for accounts, confirmation statements, necessary audits and Companies House changes; digital registration GBP100, same-day software registration GBP156, paper registration GBP124. LLP and each member file according to their applicable HMRC partnership or membership status; not all corporate members should be described as paying personal income tax. The MTD income tax for the 2026 cohort also does not automatically apply to all LLP.[3] [11] [27]
- Category
Limited partnership (LP) and private fund limited partnership designation (PFLP)
Ongoing maintenanceThe fee to register LP is GBP124; an application by a registered LP for PFLP designation generally costs an additional GBP30. Changes to general registration particulars other than PSC currently require notification within seven days. LP are not universally required to submit annual accounts to Companies House: conditions under the Partnerships Accounts Regulations and other provisions must be assessed, while partnership tax, fund regulation and other accounting obligations remain. Under the official timetable, the new LP transparency reforms under ECCT are not expected before the end of 2026 and should not be described prematurely as fully in force.[3] [10] [12]
- Category
Community interest company (CIC)
Ongoing maintenanceIn addition to company accounts, confirmation statements and applicable tax returns, submit CIC34 with the annual accounts, explaining community activities, stakeholder engagement, directors’ remuneration and relevant asset transfers. Digital incorporation costs GBP115 and paper incorporation GBP139. Dormant CIC must also provide the applicable annual community report and truthfully explain preparatory activities or dormancy; ordinary dormant Ltd accounts alone are insufficient.[3] [15]

UK establishments of overseas companies
Ongoing maintenanceThose required by home law to prepare, audit and disclose accounts generally submit them to Companies House within three months after the home-law disclosure deadline. Those outside this category generally file under the corresponding UK rules within 13 months after year-end, with special rules for the first period. The current overseas accounts processing fee is GBP50 for digital filing and GBP110 for paper filing. Changes to the UK establishment and parent company follow their 21-day rules. Separately check UK branch corporation tax and the OS DS01 notification for closing an establishment; do not apply uniform Ltd deadlines of CS01 and 9 months.[3] [16] [22]
Audit scope and supporting evidence
Provide the actual audit provider with books, invoices, bank reconciliations, assets and liabilities, governance resolutions, related-party information and historical reports, and confirm supplementary materials according to the audit scope. A one-page simplified balance sheet cannot prove the absence of liabilities, and it must not be claimed that a registration service provider automatically holds UK audit practice qualifications.[23] [24] [25] [46]
Financial and tax due diligence should verify HMRC corporation tax, VAT, PAYE, CT600, books and bank statements, identifying incorrect dormant status, related-party loans, unlawful dividends and incomplete research and development claims. Also check tax losses, potential investigations, unpaid wages, pensions, guarantees and cross-border permanent establishments. The latest single-page simplified balance sheet cannot establish ‘zero liabilities’; share and asset acquisitions differ in their effects on historical liabilities, tax and contractual succession.[23] [24] [38] [44]
Assess applicability first, then arrange an independent audit
First check whether an audit is mandatory and whether an exemption may be claimed, then verify the actual auditor’s qualifications, independence and engagement scope. Arrange evidence delivery, remediation and report signing, aligned with the applicable accounts deadlines. No conclusion may be promised, and appointing an agent must not be used to relieve directors or designated members of their statutory responsibilities.[11] [24] [25] [46]
Audit scheduling does not extend statutory accounts deadlines
Companies House: Private companies and LLP generally file accounts and a confirmation statement annually, even if dormant. A confirmation statement is required at least once every 12 months and must be delivered within 14 days after the review period ends. Subsequent accounts for private companies or LLP are generally due 9 months after the year end, and those for public companies within 6 months. For first accounts covering more than 12 months, the applicable deadlines are respectively 21 months or 18 months after incorporation, or three months after the accounting reference date, whichever is later.[11] [23] [26]
Late accounts filing: for private companies and LLP, penalties for delays of no more than one month, over one month to three months, over three months to six months, and over six months are respectively GBP150, GBP375, GBP750 and GBP1,500; for PLC they are respectively GBP750, GBP1,500, GBP3,000 and GBP7,500. Penalties may double for late filing in two consecutive financial years. Rejection of non-compliant accounts does not automatically extend the deadline. An overdue confirmation statement may also result in financial penalties, prosecution or striking off; the absence of automatic accounts penalties must not be represented as an absence of enforcement risk.[26]
Independent audit pathway for regulated business
Public companies, banks, insurers, EMI and MiFID investment companies, among others, cannot determine exemption solely by reference to ordinary small-company size criteria. Financial institutions must also check regulatory audit and client money regimes against their actual permissions; EMI safeguarding audits cannot automatically be applied to ordinary companies.[25] [35] [36]
Engagement responsibilities and service limitations
Company registration does not constitute financial authorisation, tax-exempt status or a guarantee of opening a bank account. Ordinary companies are not subject to uniform requirements for a FCA compliance officer, MLRO or financial capital; any authorisation required for the actual business must be checked separately.[2] [36] [46]
This page is communication material prepared for Ren Gang Yong Sheng (Hong Kong) Limited and business manager Tang Shangyong (Mr Tang). The qualifications of the actual identity verification, accounting, tax and audit providers should be verified separately; approval, account opening, prices and completion dates are not guaranteed, and the consultant's contact address is not the UK target company's actual office.[6] [35] [46]
Frequently asked questions
Are the audit-exemption thresholds for small-company accounts still GBP10.2 million and GBP5.1 million?+
Those are the old figures for the relevant financial years beginning before 2025-04-06. For new financial years, the thresholds are generally turnover of GBP15 million, assets of GBP7.5 million and an average of 50 employees, with at least two criteria met. Exclusions apply to the financial sector, public companies and others; an audit request made under the rules by at least 10% of qualifying shareholders can also change the outcome.[25]
Can dormant companies avoid filing?+
No. A company dormant for Companies House purposes generally still files annual accounts and a confirmation statement; dormancy for corporation tax purposes is handled separately with HMRC. Bank charges or accounting agent fees may invalidate Companies House dormancy conditions. A tax return requirement already issued cannot be ignored merely because there is no income.[23] [24] [33]
