Opening UK business bank and payment accounts

UK business account application documents, genuine operations and source of funds, differences between bank deposits and payment accounts, and account maintenance following changes in controllers.

UK Business Bank and Payment Accounts

Back to the overview of company and organisational forms

First select the applicable account type, then compile complete explanations of the business, controllers and source of funds.

First explain the business objectives and available materials, then define the service scope and next steps.

Opening a business account involves the account provider's independent review of the legal entity, operators, ownership and fund flows; it is not an approval bundled with Companies House registration. First choose between a bank deposit account and a payment or electronic money account, and verify the actual account-providing legal entity and its permissions. Remote account opening for non-residents, pricing and a fixed completion date are not guaranteed.[35] [37]

YOUR PROJECT / From needs to specific work

Typical needs

A UK entity preparing to apply for a business account must clearly explain its genuine business operations, ownership and expected fund flows to the account provider.

Workstreams available for discussion

  1. Compare how bank deposit, payment and electronic money accounts match the project’s intended use.
  2. Compile the control structure, business evidence, signing authority and sources of funds. Account decisions are made independently by the provider.

Verifiable deliverables

  • Key checks on account purposes and providers
  • Entity, controller and fund flow information checklist
  • Schedule of outstanding documents and subsequent KYC maintenance matters

The above are illustrative service scenarios explaining work that may be commissioned and delivery methods; they do not represent actual client projects. The actual scope, qualifications, fees and outcomes depend on the project facts and written engagement.

  • Accounts and other ongoing maintenance: keep actual ownership, signing authority and tax residence information up to date, and promptly explain unusual or new payment and receipt activities to account providers. From 2025-12-01, the usual FSCS limit for eligible bank deposits is GBP120,000 per depositor per PRA-authorised institution; different brands may share the same institution. EMI/API use safeguarding rather than FSCS protection for their own accounts, and failure may involve delays and administration costs; SPI are not required to safeguard funds.[35] [37]

  • AML and client money: an ordinary company’s use of a bank account does not automatically make it an institution licensed by FCA, nor is there a universal client money CASS or EMI safeguarding obligation. If it actually provides TCSP, payment, investment or other relevant services, AML registration, risk assessment, customer verification, suspicious activity reporting or client money rules apply separately. Own operating funds, money held for clients and customer prepayments must be classified correctly. It must not be claimed that a UK company certificate permits the lawful acceptance of public deposits.[35] [36] [46]

  • Business account application documents should cover entity registration documents, owners and controllers, signing authority, tax residence and evidence of genuine business activity. Supplement these with contracts, invoices, websites, expected payment countries and volumes, the source of the initial funds and an account-opening resolution as required by the institution. Before submission, verify the actual account-providing legal entity in the account agreement and its FCA permission. A brand name and UK sort code alone do not establish bank deposit status.[35] [37]

  • For corporate shareholders or multi-tier structures, prepare the parent company's incorporation and governance documents, authorising resolutions and a traceable ownership chart, and verify whether to register a RLE or trace ownership through to natural-person PSC. Banks or ACSP may require certified copies, recent proof of address and source-of-funds documents. These are their respective KYC requirements; they must not be misrepresented as documents universally required for Companies House registration.[8] [46]

  • First complete applicable director identity verification and prepare each individual’s personal code and PSC information. When using ACSP, check its current registration and AML supervisory status. Companies House verification and bank KYC must be completed separately. Even after successful company registration, the account provider may still require fresh verification and additional business evidence.[5] [6] [35]

  • Select a bank deposit account or a payment or electronic money account according to business circumstances, and submit evidence of authorised signatories, ownership, tax status and funds flows. Assessment, successful account opening and multi-currency availability are determined by the actual provider; remote account opening for non-residents or approval within a fixed number of working days cannot be guaranteed. An overseas account does not change a UK company’s UK tax obligations.[22] [35]

Ordinary companies have no uniform requirement to appoint a FCA compliance officer or MLRO; the additional regimes apply only to the corresponding regulated business or business within the scope of AML. Using a registered office service does not demonstrate the operating substance required for UK tax or banking purposes. Account-opening documents should truthfully describe the location of decision-making, offices, staff, counterparties and fund flows; permission to be a non-resident director and visa eligibility to work in the UK are separate issues.[36] [46]

  • Category

Private company limited by shares (Ltd)

    Scope of business

Suitable for private investment, trading, technology, services and UK group subsidiaries; the company is a legal entity distinct from its shareholders. The prohibition on offering shares to the public must be considered separately from ordinary private fundraising. Registration as a Ltd does not automatically grant permission to conduct payment, investment or credit business.[2] [13]

  • Category

    Public limited company (PLC)

    Scope of business

Suitable for enterprises requiring a public company structure and the corresponding financing and governance framework; it may be an unlisted public company. PLC status does not mean eligibility for listing, admission to an exchange or unrestricted issuance of financial products, nor is it a form that an ordinary trading Ltd must adopt.[2]

  • Category

    Limited liability partnership (LLP)

    Scope of business

Suitable for two or more participants arranging profits, decision-making and exit through a partnership agreement, commonly used in professional services and joint operations. LLP is a separate legal entity, but tax on a trading partnership is generally borne by members according to their profit shares; this does not justify promoting LLP or its overseas members as wholly tax-exempt.[11]

  • Category

Limited partnership (LP) and private fund limited partnership designation (PFLP)

    Scope of business

An ordinary LP is suitable for partnership arrangements managed by general partners with passive contributions from limited partners. An LP in England, Wales or Northern Ireland does not have the separate legal personality of a Scottish LP. PFLP is a designated status for qualifying private collective investment partnerships, not a separate financial licence, and does not remove regulatory qualification requirements for the manager or business.[12] [54]

  • Category

    Scottish limited partnership (SLP)

    Scope of business

SLP is a limited partnership registered in Scotland with separate legal personality, suitable for partnership or fund structures that genuinely require this legal characteristic. It is not a “Scotland IBFC” offshore financial licence, nor is there a uniform 3% transaction tax as claimed in the original guide on this topic. Tax treatment must still be analysed under the applicable partnership, member and UK business rules.[12] [20] [22] [54]

  • Category

    Sole traders

    Scope of business

Suitable for individuals operating small businesses on their own. The proprietor and the business are not two separate legal persons, and the individual bears unlimited liability for business debts. This is not a simplified version of registering a Ltd with Companies House, nor is there a general UK EzBiz registration procedure charging GBP30.[17]

  • Category

    Ordinary business partnerships

    Scope of business

Suitable for two or more partners sharing profits and business responsibilities; partners may include companies. General partners bear personal liability for business losses and debts, unlike LLP or LP with limited partners. The legal personality of Scottish partnerships should also be assessed under local law.[18]

  • Category

    Community interest company (CIC)

    Scope of business

CIC is a company status with a community benefit purpose and ongoing regulation, available on a shares or guarantee basis, not a separate FCA financial services permission. It is suitable for social enterprises, but incorporation does not automatically confer charitable tax treatment or allow assets to be freely distributed to founders.[2] [14] [15]

  • Category

    Company limited by guarantee

    Scope of business

Suitable for associations, clubs, trade bodies and non-profit organisations primarily governed by members, with guarantee members rather than shares or shareholders. A guarantee structure does not itself constitute charity registration, nor does it automatically confer exemption from general corporation tax, VAT or sector licensing.[13] [22]

  • Category

    UK establishments of overseas companies

    Scope of business

Suitable for overseas companies operating directly through a UK place of business or branch; the establishment is not a newly incorporated separate UK subsidiary. The overseas parent company bears liability arising from those operations. Registration with Companies House does not automatically approve UK operations by foreign banks, insurers or other regulated institutions.[16] [36]

  • Before acquiring a ready-made Ltd, PLC or LLP, check its legal status, complete filing history, membership or share ownership, PSC information, charges, debts and actual business activities. A so-called shelf company may still have tax arrears, account obligations or undisclosed guarantees. Buying a company registration number does not mean buying a freely usable bank account; account contracts, transaction mandates and customer checks may be reassessed following a change of controller.[7] [9] [35] [46]

  • Company registration does not constitute financial authorisation, tax-exempt status or a guarantee of opening a bank account. Ordinary companies are not subject to uniform requirements for a FCA compliance officer, MLRO or financial capital; any authorisation required for the actual business must be checked separately.[2] [36] [46]

  • This page is communication material prepared for Ren Gang Yong Sheng (Hong Kong) Limited and business manager Tang Shangyong (Mr Tang). The qualifications of the actual identity verification, accounting, tax and audit providers should be verified separately; approval, account opening, prices and completion dates are not guaranteed, and the consultant's contact address is not the UK target company's actual office.[6] [35] [46]

First select the entity, then schedule account opening, accounting, audit and tax matters under their respective applicable rules. These matters are not ancillary guarantees of registration approval.

Must a UK Ltd have a UK director?+

General company law does not require a UK-resident director; at least one eligible natural person director is sufficient, and foreign investors may hold shares. Bank policies, operating permissions and the actual location of management have separate conditions. Holding office remotely does not mean that a person may work physically in the UK without the right to work there.[2]

Is opening a bank account guaranteed after incorporation?+

No guarantee can be given. Company registration only proves that a legal entity exists; banks and payment institutions still independently assess owners, business, tax and sources of funds. Account products may also be provided by different legal entities. The FCA register and contracts should be checked, rather than relying solely on a sort code, brand or an agent’s advertised success rate.[35]

Do electronic money accounts receive the same protection as bank accounts?+

No. For eligible bank deposits, FSCS is normally GBP120,000 per depositor per PRA-authorised institution, and multiple brands may be aggregated. EMI/API uses safeguarding rather than deposit insurance for accounts with that institution, potentially through segregated accounts or insurance guarantees. Repayment following failure carries timing and cost risks; safeguarding is not mandatory for SPI.[35] [37]
