Business scope and permission boundaries
Where one vehicle has multiple risk transfer arrangements, it must demonstrate segregation, full funding and that new arrangements fall within the scope of its authorisation.
MISPV is a multi-arrangement insurance special purpose vehicle, using ISPV insurance risk transformation permission with additional regulatory conditions for multiple arrangements. The platform and each arrangement should demonstrate full funding, effective risk transfer, subordination of financing rights and segregation of assets and liabilities. New risks must fall within the non-public SOP; matters outside scope require prior VoP. Ordinary insurers' SCR/MCR, NISU or mobilisation cannot be inherited unconditionally. The information verification date is 2026-11-07.[13] [14]
MISPV applies where one vehicle organises multiple permitted risk transformation arrangements; PCC establishes statutory segregation of assets and liabilities through a core and protected cells. Platform authorisation, contractual arrangements, risk transformation transactions and cells are not interchangeable concepts, nor does adding a transaction confer another independent licence.[13] [18]
The 2025 reforms permit certain multi-transaction structures. The term “multi-arrangement” should not be taken to mean that all must use PCC, nor that all cells can already accept multiple cedants or unlimited contracts. Multiple transactions within a single contract, separate contracts and PCC cells must each be approved under current law, PS9/25 and case-specific SOP. Expansion to non-insurance cedants and PCC underwriting remains subject to legislation and subsequent rules.[13] [14] [18]
Application value and choice of route
Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.
A MISPV meeting SOP may assume subsequent risks on the same approved platform without reapplying for prior approval for each in-scope risk, but must still notify new risks and continuously satisfy all conditions. Risks outside SOP do not benefit from this arrangement.[13]
Where PCC applies, a core-and-cell structure can organise segregated assets and liabilities, helping identify how funds are used for different risks and investors. Segregation must be supported legally and in the actual accounting records. It does not guarantee that any cell will avoid losses, nor permit assets from another cell to be transferred arbitrarily to an underfunded arrangement.[13] [18]
Shared platforms and service providers may organise the administration of repeat transactions, but each contract, asset, notice and financing arrangement must remain traceable. There is no rule reducing the requirement to a single pool of share capital, exempting reporting or guaranteeing low fees merely because a platform is shared.[13] [14]
Application conditions and entry requirements
In addition to the general and core conditions under ISPV, MISPV must demonstrate compliance with Chapter 4 of the ISPV Rulebook. Submit the cedants, risks, financing and contractual structures for current and proposed transactions, and include the scope of future risks in discussions of SOP. A description of a single ISPV transaction cannot cover the entire open platform.[13]
Each arrangement must have verifiable maximum liabilities and expenses, compliant assets and the ability to pay obligations when due. Funding providers’ rights should be subordinated, and effective risk transfer maintained. The platform’s total assets or positive net assets do not prove that every arrangement is fully funded.[13] [18]
Explain the relationship between contracts, risk transactions and cells, demonstrating that assets, liabilities, investor rights and use of funds will not involve unauthorised cross-recourse. When using PCC, design arrangements in accordance with current cell legal restrictions and registration requirements; proposed future extensions must not be treated as current permissions.[13] [14] [18]
When sharing administration, investment, custody or calculation service providers, clearly define each arrangement's data, accounts, control rights and cost allocation. Vehicle oversight, board accountability and regulatory access must be maintained; sharing a back office does not permit all financing assets to be commingled.[13]
The MISPV notification mechanism may be used to accept new risks within SOP; exceeding SOP still requires a prior application for VoP. The board should have procedures to check scope, financing, risk transfer and segregation conditions before transactions are entered into. Notification within five days afterwards cannot retrospectively validate risks outside the permitted scope.[13]
Where PCC applies, distinguish establishing a new cell from creating, modifying or cancelling inter-cell arrangements, using the corresponding PRA or FCA forms respectively. Event notifications, annual ISPV reports and PCC registration are separate obligations; one cannot replace all of them.[13]
Governance, personnel, funding sources and effective supervision are organised under requirements specific to ISPV/MISPV. Ordinary underwriters’ SCR/MCR, ORSA, four key functions, NISU meetings or insurance mobilisation requirements are not adopted unconditionally.[13]
Budget separately for the financing, establishment, operating and regulatory costs of the platform and each transaction. No uniform MISPV fee rate or pricing scheme under which a single PCC minimum share capital covers all cells has been verified here; actual amounts must be confirmed against current official requirements and case-specific approvals.[13]
Shareholders, directors and key personnel
Controllers must disclose the group, ownership at every level, voting rights, ultimate control and sources of funds, and assess whether the platform, cell participants and financing investors acquire control or significant influence under applicable law. Bond investors are not invariably equivalent to company shareholders; the same control bands must not be applied without analysis.[13] [25]
Management must be capable of overseeing multiple arrangements simultaneously, with clear responsibility for approving new risks, checking SOP, verifying each financing, managing cell segregation and preparing event and annual reports. Required SMR or applicable FCA Controlled Function applications are determined by current ISPV-specific functions and actual responsibilities. Do not invent fixed minimum platform headcounts, uniform SMF numbering or residence requirements for all directors.[13] [14]
Service providers may be shared, but each arrangement must have its own records, oversight and conflict management. A platform must not allow the same provider to transfer assets between arrangements without authorisation or disregard payment priorities. Compliance should include checks before new transactions go live and a calendar for notifications covering multiple events; the board retains ongoing accountability.[13]
Capital and financial resources
Each MISPV risk transformation must be fully funded under the applicable rules. Assets should support the corresponding maximum risk exposure and expenses and be available to make payments when due. Assets subject to segregation restrictions cannot be used for other arrangements merely because they share a platform. Separate records should be kept of assets, liabilities, investor funds and availability for each arrangement and applicable cell.[13] [18]
Operational resources and risk financing must be explained separately; a single minimum share capital amount for a shared core cannot replace funding for all arrangements. The SCR/MCR and £3,500,000 floors for ordinary insurers do not serve as a uniform funding threshold for MISPV; compliance at aggregate platform level must not conceal funding shortfalls in individual arrangements.[13]
For retained realised profits under PS9/25 and any qualifying funding grace period of up to 30 business days, the applicability and segregation conditions should be explained individually. They do not apply automatically merely because the platform has other transactions. Funding commitments, limited recourse, guarantees or unimplemented legislative flexibility cannot be treated as assets without approval.[14] [18]
Registered office and operational substance
The application should list the vehicle's legal registered address, actual platform management and decision-making locations, locations of core records and records for each arrangement, service providers and account administration, explaining how the regulator can verify individual transactions rather than merely obtain aggregate platform figures. Shared back-office functions and overseas service providers should have traceable responsibilities and information access arrangements.[13]
A cell is not another independently licensed company that can freely substitute for the platform entity using a different business address. This material gives no assurance regarding physical UK offices, floor area, lease terms or the residence of all senior managers, and does not treat a consultant's address as regulatory business substance. The legal and head office conditions for the selected PCC or non-PCC structure must be confirmed under the applicable regime.[13] [18]
Application document checklist
Submit the applicable ISPV standard-route or eligible accelerated-route application form, adding evidence under Chapter 4 of MISPV and an explanation of the platform’s business scope. Where PCC is used, attach the applicable registration form and core/cell structure documents; not every multi-transaction arrangement unconditionally requires a PCC application.[13] [14]
Provide the vehicle's constitutional documents, control structure, sources of funds, management information, and SMR and applicable FCA Controlled Function forms. Specify who makes decisions, monitors, reports and handles non-compliance for each arrangement, rather than applying a fixed list of conventional insurance roles.[13]
Submit risk transformation contracts and a clear contract–risk transaction–cell mapping for the arrangement, explaining the cedant, triggers, maximum liability, term, renewals, termination and recourse relationships. The scope of future transactions must be capable of being checked against the proposed SOP; submitting only a platform brochure is insufficient.[13]
Submit documents for each financing arrangement, issuance, subscription and investor payment, verifying paid-in funds and subordinated rights. Explain the order of payments of fees, interest, principal and amounts to the cedant, preventing investors in one arrangement from obtaining another arrangement’s assets prematurely.[13] [18]
Provide item-by-item calculations of maximum exposure and expenses, asset valuations, evidence of receipt of funds and custody, and analyses of investments, account control and payments at maturity. Where an income or funding grace period is used, demonstrate the conditions item by item; consolidated equity, ordinary SCR/MCR or cross-cell cash pooling are not substitutes.[13] [14] [18]
Provide an analysis of asset and liability segregation, inter-cell arrangements, limits on cross-recourse and enforceability, explaining separate accounting, cost allocation and controls over shared service providers. Material questions about segregation should be supported by an appropriate legal basis, rather than merely an accounting label indicating protection.[13] [18]
Submit SOP verification and new-risk approval procedures, PRA new-risk and Group of Cells notification procedures, applicable FCA new-cell notification procedures and an annual reporting plan. Each trigger event, responsible person and documentation route should be independently traceable.[13]
Attach application fee payment details and explain residual liabilities, release of funds and how the platform will continue operating after transactions terminate. Ordinary insurers’ ORSA, SFCR, standard audits and NISU capital templates are not default mandatory submissions for MISPV; specific additional information is determined by the dedicated forms and case-specific questions from both regulators.[13]

Application process and key steps
First define all arrangements, contracts, cedants and cells, and confirm the applicability of RAO13A, Chapter 4 of MISPV, and the chosen PCC or non-PCC structure. Verify the boundaries of the 2025 reforms and the extension of cell arrangements that still requires legislation; permissions cannot be determined solely from a multi-arrangement trading name.[13] [14] [18]
A joint pre-application meeting with both authorities may be requested through ISPVMailbox@bankofengland.co.uk to discuss initial and subsequent risks, segregation, SOP and the assessment route. The meeting is not mandatory and does not replicate the fixed meetings or initial assessment milestones for ordinary insurers under NISU.[13]
Submit the relevant application forms, platform and transaction-by-transaction information, personnel forms, applicable PCC registration and fee payment documents electronically to the dedicated mailbox of that ISPV. Select the accelerated route only where eligibility conditions are met; established back-office operations at MISPV do not automatically qualify an application for ten-day processing.[13] [14]
PRA acknowledges receipt and forwards it to FCA. Both review the vehicle and the conditions of each arrangement, agreeing a non-public SOP case by case. Address questions on financing, investor rights, segregation, contracts and the scope of future risks; do not substitute an ordinary SCR/MCR submission for evidence that the transaction is fully funded.[13]
PRA decides on authorisation after obtaining the consent of FCA. The platform operates under SOP and establishes BEEDS annual reporting and event notifications. New risks within the permitted scope require notification within five working days under MISPV; applicable inter-cell arrangements require notification within five working days, and new cells within ten working days. Obtain VoP first before exceeding SOP.[13]
Approval deadlines and project timelines
A formal Part 4A application is governed by section 55V of FSMA as verified locally. The decision period for a complete application is six months from receipt of complete materials, and for an incomplete application twelve months from initial receipt. The decisions required from both authorities are subject to their respective deadlines, neither of which guarantees approval. Time spent preparing platforms, transaction legal documents, accounts and fundraising is not part of a single standard processing period.[8]
Ten working days is only the target for complete applications under the ISPV accelerated route meeting official eligibility criteria; it must not be presented as automatic ten-day approval for all MISPV, PCC or every cell. This review did not confirm a uniform practical timeframe for non-accelerated MISPV; ordinary NISU service or mobilisation timeframes must not be copied across.[13] [14]
Event-based deadlines are calculated separately: notify PRA within five working days of assuming a new risk within SOP; submit a Group of Cells form within five working days of creating, modifying or cancelling an inter-cell arrangement; and submit an FCA notification within ten working days after PCC creates a new cell. These are not application approval deadlines, nor do they permit operating beyond scope before filing. Actual fees and project completion dates require case-by-case confirmation; no quotation or office premises are guaranteed.[13]
Changes to shareholders, directors and permissions
Before assuming new risks, check SOP and each financing and segregation arrangement. For MISPV within SOP, notify PRA within five working days of assuming the new risk, as required. For activities outside scope, first submit a ISPV VoP application. This retrospective notification cannot replace a variation of permission.[13]
Creation, amendment or cancellation of inter-cell arrangements requires submission of a PRA Group of Cells notification within five working days; creation of a new PCC cell also requires a FCA PCC notification within ten working days. Changes to contracts, investor payments, fund releases or asset allocations require renewed checks of full funding, effective risk transfer and subordination of rights, even where no new cell is created.[13]
Handle shareholder control and management changes under applicable control and function approval requirements, first determining the nature of the rights of platform and cell participants. Company registration, investor list updates or cell notifications do not replace required prior control and personnel approvals. Changes to core directors and service providers should also be assessed to ensure all arrangements remain capable of supervision.[13] [25]
Ongoing compliance and annual maintenance
The platform should continually check assets, maximum liabilities, receipt of funding and payment capacity for each transaction and each cell, maintain effective risk transfer and subordination of investors’ rights, oversee shared service providers and prevent non-compliant cross-use of assets. Annual consolidated figures are insufficient to demonstrate ongoing compliance for each arrangement.[13] [18]
Submit annual ISPV qualitative and dedicated quantitative reports to PRA, with quantitative templates submitted through BEEDS; applicable FCA supervision and reporting are arranged separately. Notifications of new risks and Groups of Cells under MISPV and new cells under PCC are independent of annual reporting and cannot be deferred for submission together with the annual report. Confirm specific reporting deadlines in days and audit obligations against current ISPV rules and the legal structure, rather than applying an ordinary SCR/MCR, ORSA, SFCR or uniform audit checklist.[13]
When a transaction ends, a cell closes or a platform exits, outstanding liabilities, fees, asset releases and investor rights must still be addressed, with complete accounting records and notification evidence retained. Policy reform announcements do not automatically remove current SOP, segregation, funding or ongoing fee obligations.[13] [14]
Acquisition due diligence and transaction considerations
Before acquiring MISPV/PCC, obtain the platform's non-public SOP, core and individual cell documents, a complete contract list, and annual and event notification records. Public registration does not reveal the full future scope; acquiring platform shares does not automatically confer permission to add unlimited new risks.[13]
Check asset ownership, availability, maximum exposure, paid-in funding, payment priority, recourse and expense allocation item by item, examining non-compliant commingling, unnotified additional risks, funding shortfalls and outstanding liabilities. Total platform net assets, an ordinary SCR/MCR track record or the name of an empty cell cannot demonstrate that the entire structure is free of issues.[13] [18]
Applicable change-in-control approvals and management changes should be conditions of completion. New post-acquisition transactions exceeding SOP require a separate VoP. The usual sixty-working-day assessment following confirmation that a control notification is complete, and statutory interruptions, do not represent a guaranteed timetable for the overall acquisition. Ready-made platform pricing should include liabilities under each arrangement, ongoing reporting, service providers and financing costs; no uniform quotation is promised.[25] [27]

Frequently asked questions
Are MISPV and PCC the same concept?+
No. MISPV focuses on supervision of multiple arrangements, while PCC is a legal structure separating the assets and liabilities of the core and cells. Contracts, transactions and cells must be assessed separately. The 2025 reforms do not mean that PCC is universally mandatory, or that all restrictions on multiple contracts within cells have been removed.[13] [14] [18]
Is a single minimum share capital amount for a platform sufficient to cover all risks?+
No. Each arrangement must be fully funded and able to pay when due, and assets subject to segregation restrictions cannot be freely pooled or used interchangeably. Platform operating resources and funding for each risk must also be arranged separately. There is no rule under which a single equity contribution underwrites all cells.[13] [18]
Are all new risks exempt from prior approval?+
Only new MISPV risks remaining within SOP may use the notification mechanism, with notification to PRA within five working days of assumption. Exceeding SOP first requires VoP; retrospective notification cannot validate out-of-scope transactions.[13]
Do a new risk and a new cell require only one notification?+
No. New-risk PRA notifications, inter-cell arrangement PRA Group of Cells notifications and FCA notifications for new PCC cells each have their own triggers and five-day or ten-day deadlines. Where multiple events apply, each must be assessed separately; annual reports cannot replace them.[13]
Can shared service providers pool all assets?+
Shared back-office operations do not permit commingling of funds. Assets, liabilities, accounting records, investor rights and fees must be verifiable for each arrangement. Cross-arrangement recourse and use of funds are governed by current law and contractual conditions.[13] [18]
Is MISPV required by default to submit SCR and ORSA as an ordinary insurer?+
This should not be assumed. MISPV is subject to dedicated ISPV rules on funding, risk transfer, subordination and multiple arrangements, and submits a dedicated annual report. The SCR/MCR, ORSA and NISU processes for ordinary insurers are not unconditional requirements.[13]
