Multi-arrangement ISPV — MISPV and Protected Cell Company

Multi-arrangement platforms undertake multiple permitted risk transformation transactions, while PCC provides statutory segregation of assets and liabilities through a core and protected cells. The 2025 reforms allow multiple risk transformation transactions under a single contractual arrangement to avoid using PCC in specified circumstances, but multiple independent contractual arrangements and statutory restrictions on cells still require separate assessment. [13] [14]

Multi-arrangement platforms undertake multiple permitted risk transformation transactions, while PCC provides statutory segregation of assets and liabilities through a core and protected cells. The 2025 reforms allow multiple risk transformation transactions under a single contractual arrangement to avoid using PCC in specified circumstances, but multiple independent contractual arrangements and statutory restrictions on cells still require separate assessment.[13] [14]

In addition to the ISPV conditions, multi-arrangement ISPV and PCC platforms must demonstrate segregation of arrangements and applicable cells and ongoing funding, manage new risks within SOP and provide separate event notifications. PCC is a legal structure, while MISPV is a multi-arrangement regulatory category; this does not mean one licence per cell or that the expansion to all contracts and cedants has taken effect. The verification date is 2026-11-07; approval, fees or actual premises are not guaranteed.[13] [14] [18]

This subcategory covers multi-arrangement risk transformation platforms and applicable protected cell companies. The PCC core and cells have segregated assets and liabilities, but contractual arrangements, risk transactions, cells and platform authorisation must be understood separately. MISPV must also comply with Chapter 4 of ISPV; a single ISPV permission cannot be assumed to confer an unlimited transaction scope.[13] [18]

The 2025 reforms accommodate certain multi-transaction structures and do not require all multi-transaction arrangements to use PCC. Legal restrictions on multiple separate contracts, multiple transactions within one contract and PCC cells should be checked for approval transaction by transaction. Further reforms concerning non-insurance cedants, multiple contracts per cell and PCC underwriting remain subject to legislative conditions; updated consultations must not be treated as fully effective permissions.[13] [14] [18]

Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.

  • New MISPV risks within SOP may be notified as prescribed without seeking prior approval from PRA each time. However, each must still meet the ISPV conditions and be notified within five working days. Activities outside the scope are not eligible for automatic addition.[13]

  • The applicable PCC structure provides core/cell segregation, helping organise different risks and funding, but statutory and practical controls must be established. It does not guarantee any investor's principal or allow arbitrary capital transfers across cells or reductions in each financing requirement.[13] [18]

  • Shared platforms and service providers may organise repeat transactions, provided that each flow of funds, contract, responsibility, fee and report remains traceable. There is no general rule under which one minimum share capital amount covers all cells, audits are waived or fees are fixed at a low level.[13]

  • Demonstrate compliance with the ISPV general and core conditions and Chapter 4 of MISPV, defining cedants, contracts, risks, financing and future scope item by item and comparing them against the proposed SOP.[13]

  • The assets of each arrangement must support its maximum liabilities and expenses under applicable rules, with funds available to pay obligations when due. A positive total asset balance cannot substitute for full funding of each arrangement, and assets subject to segregation restrictions must not be used interchangeably at will.[13] [18]

  • Each risk contract must maintain effective risk transfer, and funding providers' rights must be subordinated. Refunds, redemptions or cross-recourse must not cause another arrangement to bear undeclared risks or withdraw claims-paying funds prematurely.[13]

  • Where PCC applies, demonstrate the legal and practical segregation of the core and cells, registration requirements and contractual restrictions. Do not automatically treat PCC as a structure able to underwrite directly or freely accept risks from non-insurance businesses.[13] [18]

  • Shared service providers must have arrangements for separate records, controls, cost allocation, conflicts and regulatory access. The platform remains accountable rather than transferring all monitoring to the back office.[13]

  • For a new risk, first check SOP and funding. Use notification only if it is within scope; if outside scope, first VoP. New cells and inter-cell arrangements are separately subject to the relevant event rules; an annual report or a single notification cannot replace all requirements.[13]

  • Personnel are assigned according to the current ISPV-specific functions and actual responsibilities, rather than unconditionally adopting the four key functions for ordinary insurers, uniform SMF, SCR/MCR, ORSA, NISU or mobilisation requirements.[13] [14]

  • Funding, operating, establishment and regulatory fees must be arranged separately for the platform and each transaction. A uniform minimum share capital, realistic timetable and quotation have not been verified in this review. Cell segregation does not guarantee low costs or approval.[13]

Disclose direct and indirect control of the platform, the rights of cell participants and financing investors, and sources of funds, and analyse whether special voting or influence rights trigger control requirements. Not every investor can be treated as a shareholder, nor can control analysis be excluded because rights sit at cell level.[13] [25]

Management should be able to oversee SOP, funding, investor subordination, contracts, segregation and notifications for each arrangement. SMR and applicable FCA Controlled Function matters must follow the current ISPV regime; do not speculate about fixed headcounts, uniform numbering or UK residence requirements for all senior managers.[13] [14]

Shared administration, calculation, investment and custody services should allocate substantive responsibilities and conflict controls, clearly identifying who performs pre-contract checks, who tracks notification deadlines, and who verifies funds and accounts. The board retains ongoing oversight; a protected cell cannot be treated as an empty shell requiring no personnel or management.[13]

This subcategory checks full funding by arrangement and applicable cell, with assets supporting the corresponding maximum risk exposure, expenses and payments when due, rather than substituting consolidated platform net assets or a single capital contribution. Segregated funds must not be transferred arbitrarily to another arrangement merely because the service provider or directors are the same.[13] [18]

Realised profits permitted by PS9/25 and any qualifying funding grace period of up to 30 business days must be explained individually. Limited recourse and unpaid commitments do not automatically remove funding requirements. Risk funding, core operations and the expenses of each arrangement should be clearly allocated; assets of other cells must not be used to conceal funding shortfalls.[14] [18]

The general insurance SCR/MCR, ORSA or £3,500,000 floors are not uniform capital rules for this subclass. This material does not validate a PCC minimum share capital figure covering all risks or a uniform price; funding eligibility is determined by the actual structure.[13]

Explain the UK platform’s registered address, the locations of actual decision-making and management, core and individual cell accounts and contractual records, service providers and account controls, ensuring both regulators can verify each item. Shared back offices and overseas service providers should provide responsibilities and information access, rather than submitting only consolidated platform reports.[13]

A cell is not a separately licensed entity that can freely change its address independently. The legal structure selected and head office conditions must be confirmed against the applicable thresholds. This material does not approve physical offices, floor area, lease terms or residence conditions for all personnel, nor does it use a website or consultant's address to demonstrate a UK applicant's substance.[13] [18]

  • Submit the relevant ISPV application form, information under Chapter 4 of MISPV and the platform’s scope; where PCC applies, also submit registration and core/cell structure materials. Do not treat all multi-transaction arrangements as requiring PCC.[13] [14]

  • Provide constitutional documents, details of control and sources of funds, personnel responsibilities and fitness and propriety, SMR and applicable FCA Controlled Function documents, clearly allocating management and compliance responsibilities for the platform and each arrangement.[13]

  • Submit a complete contract–transaction–cell mapping, covering risk contracts, triggers, maximum liability, term, renewals, termination, recourse and future scope, allowing item-by-item comparison with SOP.[13]

  • Submit documents for each issuance subscription and financing arrangement, paid-in funds, investor subordination and payment priority, preventing investors in one arrangement from obtaining another cell’s assets prematurely.[13] [18]

  • Submit item-by-item analyses of maximum exposure and expenses, asset valuation and receipt of funds, investment custody, account control and payments. Separately demonstrate the conditions for any income or funding grace period; ordinary SCR/MCR or consolidated balances are not substitutes.[13] [14]

  • Provide the basis for segregation and enforceability, separate accounting, cross-recourse restrictions, inter-cell arrangements, cost allocation, shared service provider controls and evidence of regulatory access.[13] [18]

  • Provide pre-launch SOP and financing checks, PRA new-risk and Group of Cells procedures, FCA new-cell notification procedures, BEEDS annual reporting and post-transaction performance arrangements, tracking events and responsible persons separately.[13]

  • Attach fee payment details and supplement them according to the applicable forms and case-specific requirements. Ordinary NISU capital documents, ORSA, SFCR and a standard audit package are not unconditionally mandatory for this subcategory.[13]

This is provided as a reference for organising the project; it cannot replace current official application forms or case-specific requests for additional materials. Please do not send identity documents or customer records through website forms.

  • Define the contracts, risk transactions and relationships between cedants and cells, confirm ISPV/MISPV and the selected PCC or non-PCC rules, and distinguish changes already implemented under 2025 from extensions awaiting legislation.[13] [14] [18]

  • A joint pre-application meeting with both authorities may be arranged through ISPVMailbox@bankofengland.co.uk to discuss initial and subsequent transactions, segregation and SOP. The meeting is not mandatory and does not replicate the fixed NISU milestones.[13]

  • Submit electronically the dedicated standard form or, where eligible, the accelerated form, evidence for each platform requirement, personnel forms, applicable PCC registration and fee information. An established platform and PCC status do not in themselves guarantee eligibility for acceleration.[13] [14]

  • PRA acknowledges receipt and forwards it to FCA. Both review the financing, transfer, subordination, segregation and management of each arrangement, establishing a non-public SOP case by case. An ordinary capital package is not treated as evidence of full funding for multiple arrangements.[13]

  • PRA grants authorisation after obtaining the consent of FCA; commence operations under SOP. New risks within scope require a PRA notification within five working days, inter-cell arrangements a PRA notification within five working days, and new cells a FCA notification within ten working days. Establish BEEDS annual reporting separately; obtain VoP first before going beyond scope.[13]

Under the verified section 55V of FSMA, formal applications have a decision period of six months after receipt of a complete application or twelve months after initial receipt of an incomplete application, without any guarantee of approval. Transaction establishment, legal separation, fundraising and systems preparation are additional; no uniform practical timetable has been verified for this subcategory.[8]

Ten working days is only a target for eligible complete accelerated applications, not a uniform approval period for platforms, PCC or each cell. The five-working-day period for new risks, five-working-day period for inter-cell arrangements and ten-working-day period for new cells are respectively post-event notification deadlines; they must not be used to operate beyond permitted scope or claim rapid licensing.[13] [14]

Fees, funding and operating costs for each arrangement are subject to current rules and case-specific approval. No quotation, completion timeframe or physical office premises are guaranteed, and standard NISU/mobilisation service timelines do not carry over.[13]

For each addition or amendment, first check SOP and ongoing funding, risk transfer, subordination and segregation. Under MISPV, notify PRA within five working days after assuming a new risk within scope; if outside SOP, submit ISPV VoP first. Notification cannot serve as retrospective approval.[13]

Submit PRA Group of Cells within five working days after creating, amending or cancelling an inter-cell arrangement; submit the FCA PCC notification within ten working days of creating a new cell. One transaction may trigger multiple events; merely updating the accounts or waiting for the annual report is not sufficient.[13]

Assess prior approval and ongoing oversight for changes in control, directors, senior managers or core service providers according to actual rights and the applicable regime. Company registration and cell notifications do not replace control or function approvals, nor remove contract-specific consent requirements.[13] [25]

Maintain full funding, effective risk transfer, subordination of funding rights and segregation of assets and liabilities for each arrangement. Continually reconcile funding, valuations, payments at maturity and releases, and oversee shared service providers and conflicts. Aggregate platform figures must not conceal deficiencies in individual cells or arrangements.[13] [18]

Submit annual ISPV qualitative and dedicated quantitative reports to PRA, with quantitative reporting through BEEDS. Applicable FCA supervisory reporting is separate. MISPV and PCC event notifications must be made separately and cannot be replaced by retrospective submission with the annual report. Ordinary SCR/MCR, ORSA, SFCR or a uniform audit are not the default checklist for this subcategory; specific deadlines in days and audit requirements must be confirmed against current applicable requirements.[13]

Closing a transaction or cell requires settlement of remaining obligations, fees, investor payments and fund releases, with separate records and evidence supporting notifications retained. Platform permissions, core resources and ongoing fees still require assessment; reform announcements do not automatically remove current obligations.[13] [14]

Obtain the platform's non-public SOP, core/cell structure, contract-by-contract assets, financing and subordination arrangements, and annual and event reports to verify the actual risk scope. Public FRN or the name of an empty cell does not prove that the platform can accept unlimited new transactions.[13]

Verify maximum exposure and expenses, paid-in funding, valuation, account ownership, segregation, cross-recourse, unnotified risks and outstanding liabilities item by item. Ordinary SCR/MCR or platform net assets cannot replace these reviews. Changes in management or service providers should include checks on each arrangement's continuing ability to perform its obligations and maintain oversight.[13] [18]

Make applicable PRA change-in-control approval and personnel formalities conditions of completion. A complete notification generally has a sixty-working-day assessment period, which may be interrupted by law; this does not guarantee overall completion. New business beyond SOP separately requires VoP. An acquisition is not the purchase of a freely transferable, low-cost licence without liabilities.[25] [27]

View the complete process for acquiring a licensed company

The following are specific permissions, organisational models or statutory categories covered by this topic. They do not necessarily each constitute a separate financial licence.

Is each PCC cell a separately licensed company?+

No. PCC is a legal structure separating the core and cells. Platform authorisation, MISPV conditions, contracts and transactions are assessed separately; each cell cannot be described as a separate licence.[13] [18]

Does notification of new risks replace verification of SOP?+

No. Only new MISPV risks within scope may be notified to PRA within five working days after assumption. For risks outside scope, apply for VoP first; notification cannot provide retrospective approval.[13]

Do the same time limits apply to new cells and inter-cell arrangements?+

They differ. Notify PRA within five working days of creating, amending or cancelling inter-cell arrangements; when PCC creates a new cell, notify FCA within ten working days. Notification of new risks is a separate matter.[13]

Can another cell's assets be used to cover a funding shortfall?+

They cannot be mixed arbitrarily merely because they are on the same platform. Segregation requirements and the relevant contractual and legal conditions must be observed, and each arrangement should demonstrate asset backing for its liabilities and its ability to pay.[13] [18]

Can all multi-transaction arrangements already involve unrestricted numbers of contracts and cedants?+

That cannot be presumed. Specific structural reforms under 2025 must be distinguished from the legal restrictions on PCC cells. Further expansion to non-insurance cedants and broader cell scope remains subject to legislation and subsequent rules. Case-specific SOP must also be complied with.[13] [14] [18]

Does this subcategory use the ordinary insurance NISU and audit package by default?+

This is not assumed. Use the dedicated ISPV procedures, funding and segregation evidence, and annual reports. Staffing and audit requirements should be confirmed against current dedicated requirements and those for the legal entity, without assuming uniform SMF, SCR/MCR, ORSA or audit rules.[13] [14]
