Business scope and permission boundaries
Appointing a person to a regulated senior management function SMF requires prior approval under the applicable regime and clear responsibilities and fitness and propriety. Registering a company director is a separate procedure.
PRA senior manager approval is a prudential procedure concerning relevant entities, individuals or specified matters. It is not new bank authorisation and does not confer a standalone licence to conduct financial business.
Senior management function approval relates to a specific individual, institution and set of responsibilities; it does not authorise that individual to provide financial services independently. Ordinary director appointments, certification roles and SMF must be assessed separately.
Application value and choice of route
Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.
Before implementing matters that trigger regulatory procedures, clarify the statutory basis, approval or notification responsibilities and decision conditions, avoiding treating company registration, individual appointments or commercial transaction documents as regulatory approval.
Application conditions and entry requirements
Demonstrate honesty, competence, experience and financial soundness appropriate to the proposed duties, and prepare statements of responsibilities, responsibility allocation and regulatory references. A uniform set of SMF1, SMF16 and SMF17 templates must not be applied to every financial category.
Shareholders, directors and key personnel
The actual applicant entity and its authorised responsible officers bear responsibility for the authenticity of the materials and for governance, with controllers, proposed appointees or relevant professional qualifications checked as appropriate to the matter. Approval of functions relates to specific individual responsibilities; a standard number of directors cannot replace a suitability assessment.
Capital and financial resources
SMF approval for individual functions does not itself impose a uniform minimum personal capital threshold. Candidates' financial soundness and fitness and propriety must be assessed, while their bank or insurer separately remains subject to its own ongoing capital and liquidity obligations.
Registered office and operational substance
Retain and verify the actual applicant entity’s registered address, regulatory contact details and existing operational substance. Approval of a particular matter cannot be treated as proof of a new entity’s registered address or a UK bank’s place of business.
Application document checklist
Applicable SMF applications, responsibility descriptions, evidence of experience and competence, regulatory references and fitness and propriety assessment materials are required. Group or branch functions need explanations of reporting lines and local responsibilities.
This is provided as a reference for organising the project; it cannot replace current official application forms or case-specific requests for additional materials. Please do not send identity documents or customer records through website forms.
Application process and key steps
Confirm the actual senior management function and PRA/FCA responsibilities, and complete fitness, experience and regulatory reference checks. Prepare statements of responsibilities, responsibility allocation and applicable application forms, with the institution applying through official channels. Respond to requests for additional information or interviews as required, perform the function after obtaining the applicable approval, and retain responsibility and ongoing fitness records. This is not an application to establish a bank submitted to the new bank authorisation mailbox.
Approval deadlines and project timelines
The current statutory SMF assessment period for PRA is 90 days; requests for further information or interviews may stop the clock under the rules. Staff commencement plans should be set out separately, with no promise of immediate appointment.
Changes to shareholders, directors and permissions
When proposing changes to approved matters, responsibilities, conditions or group arrangements, reassess whether notification, variation or a new application is required under the relevant rules; do not automatically import control thresholds from other procedures.
Ongoing compliance and annual maintenance
Continue to comply with the scope, conditions and validity period of this decision, retain supporting evidence and notify changes under the applicable rules. The institution’s existing regulatory reporting, capital and governance obligations continue to apply independently.
Acquisition due diligence and transaction considerations
This determination is not 'licence inventory' that can be traded separately from the entity or individual. Share acquisitions, control, SMF appointments, business transfers and VoP must each have their own regulatory conditions precedent and timetable where actually triggered.

Frequently asked questions
Does this approval amount to obtaining a new banking or insurance licence?+
No. Approval of specific matters, individual functions and permissions under rules differ from financial authorisation of a new institution. The assessment must be based on actual activities and the legal basis applicable to this item.
Can registration as a company director replace a regulatory decision?+
No. Company registration, appointment of directors and regulatory approval are separate procedures. Where prior approval is required, a decision must first be obtained under the applicable rules.
Is approval or a fixed timeframe guaranteed?+
No guarantee can be given. Completeness, requests for further documents, legal conditions and case-specific assessment affect the decision. The statutory periods published here are not a promise of approval.
