Business scope and permission boundaries
Specialist PRA structural reform matters include approval of a skilled person for a ring-fencing transfer scheme and permission for a ring-fenced body to access interbank payment systems indirectly under exceptional conditions. Other group restructurings follow the procedures actually triggered.
PRA structural reform approvals and group arrangements are prudential procedures concerning relevant entities, individuals or specified matters. They are not new bank authorisation and do not confer a standalone licence to conduct financial business.
A ring-fencing transfer scheme (RFTS) is used to restructure banking business. An application is made to approve the proposed skilled person to prepare the scheme report, and PRA consults FCA. A ring-fenced body should in principle participate directly in the relevant interbank payment systems, but may apply for access through an intermediary where official exception conditions are met. General group restructurings may separately trigger change in control, holding company, VoP or business transfer procedures and must not be confused with this specialist approval.
Application value and choice of route
Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.
Before implementing matters that trigger regulatory procedures, clarify the statutory basis, approval or notification responsibilities and decision conditions, avoiding treating company registration, individual appointments or commercial transaction documents as regulatory approval.
Application conditions and entry requirements
Demonstrate separately the candidate's ability to produce appropriate reports, or that indirect system access meets the official exception and the objectives of ring-fencing, safety and soundness. Establish an approval matrix for individual group entities and changes in activities; these cannot collectively be described as a single Group Approval.
Shareholders, directors and key personnel
The actual applicant entity and its authorised responsible officers bear responsibility for the authenticity of the materials and for governance, with controllers, proposed appointees or relevant professional qualifications checked as appropriate to the matter. Approval of functions relates to specific individual responsibilities; a standard number of directors cannot replace a suitability assessment.
Capital and financial resources
Check consolidated group capital and individual entity requirements separately; consolidated approval must not be treated as permission to withdraw client funds or regulated entities’ capital.
Registered office and operational substance
Retain and verify the actual applicant entity’s registered address, regulatory contact details and existing operational substance. Approval of a particular matter cannot be treated as proof of a new entity’s registered address or a UK bank’s place of business.
Application document checklist
For RFTS, provide the skilled person application, joint signatures with the candidate, qualifications and scheme report materials. For indirect access to payment systems, prepare the legal basis, exceptional circumstances, cost and risk impacts, and safety and soundness analysis. For general group restructurings, separately provide structure charts, legal documents, approval matrices and materials on capital, liquidity and customer impacts.

Application process and key steps
First identify the legal provisions and triggering events, and check existing permissions and decision conditions. Prepare the applicable forms, governance decisions and specific supporting evidence, for submission through official channels by an authorised responsible person. Address completeness, supplementary information or assessment requirements, implement only after obtaining any required prior approval, and record conditions, deadlines and subsequent obligations.
Approval deadlines and project timelines
Schedule each procedure actually triggered separately and set its prerequisites; this designation does not have a universal statutory timetable applicable to every restructuring.
Changes to shareholders, directors and permissions
When proposing changes to approved matters, responsibilities, conditions or group arrangements, reassess whether notification, variation or a new application is required under the relevant rules; do not automatically import control thresholds from other procedures.
Ongoing compliance and annual maintenance
Continue to comply with the scope, conditions and validity period of this decision, retain supporting evidence and notify changes under the applicable rules. The institution’s existing regulatory reporting, capital and governance obligations continue to apply independently.
Acquisition due diligence and transaction considerations
This determination is not 'licence inventory' that can be traded separately from the entity or individual. Share acquisitions, control, SMF appointments, business transfers and VoP must each have their own regulatory conditions precedent and timetable where actually triggered.

Frequently asked questions
Does this approval amount to obtaining a new banking or insurance licence?+
No. Approval of specific matters, individual functions and permissions under rules differ from financial authorisation of a new institution. The assessment must be based on actual activities and the legal basis applicable to this item.
Can registration as a company director replace a regulatory decision?+
No. Company registration, appointment of directors and regulatory approval are separate procedures. Where prior approval is required, a decision must first be obtained under the applicable rules.
Is approval or a fixed timeframe guaranteed?+
No guarantee can be given. Completeness, requests for further documents, legal conditions and case-specific assessment affect the decision. The statutory periods published here are not a promise of approval.
