Financial Holding Company Approval

Certain financial holding parent companies may require group prudential approval or must meet the applicable exemption conditions; holding company approval does not authorise them to accept deposits directly.

Certain financial holding parent companies may require group prudential approval or must meet the applicable exemption conditions; holding company approval does not authorise them to accept deposits directly.

Financial holding company approval is a prudential procedure concerning relevant entities, individuals or specified matters. It is not authorisation for a new bank and does not confer a standalone licence to conduct financial business.

First determine the parent company’s statutory financial holding status, the level of consolidated supervision and UK regulatory responsibilities, then confirm the approval or exemption route. Incorporating an ordinary Ltd or holding shares in a bank does not establish that approval has been obtained.

Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.

Before implementing matters that trigger regulatory procedures, clarify the statutory basis, approval or notification responsibilities and decision conditions, avoiding treating company registration, individual appointments or commercial transaction documents as regulatory approval.

Check the group structure, subsidiaries' activities and regulatory status, group capital and liquidity, parent company governance and access to regulatory information, and explain the holding company's responsibilities towards regulated entities.

The actual applicant entity and its authorised responsible officers bear responsibility for the authenticity of the materials and for governance, with controllers, proposed appointees or relevant professional qualifications checked as appropriate to the matter. Approval of functions relates to specific individual responsibilities; a standard number of directors cannot replace a suitability assessment.

Capital and liquidity must be established separately at consolidated group and individual institution levels; no universal fixed share capital amount guarantees approval.

Retain and verify the actual applicant entity’s registered address, regulatory contact details and existing operational substance. Approval of a particular matter cannot be treated as proof of a new entity’s registered address or a UK bank’s place of business.

Group structures before and after the transaction, each legal entity’s activities and permissions, the scope of consolidated supervision, governance arrangements, capital and liquidity plans, and grounds for applicable eligibility or exemptions.

This is provided as a reference for organising the project; it cannot replace current official application forms or case-specific requests for additional materials. Please do not send identity documents or customer records through website forms.

Prepare an electronic application for approval or exemption using the current PRA Holding company approvals page and official forms, and send it to PRA-FHC-Approval-Enquiries@bankofengland.co.uk. Check application fees against the PRA Rulebook; this website does not collect regulatory fees or replace payment to the regulator. Verify submission and payment information on the official website before taking action.

Determine the decision deadline according to the applicable holding company regime, application status and confirmation from the competent authority; do not apply the assessment clock for new bank authorisation or changes in control.

When proposing changes to approved matters, responsibilities, conditions or group arrangements, reassess whether notification, variation or a new application is required under the relevant rules; do not automatically import control thresholds from other procedures.

Continue to comply with the scope, conditions and validity period of this decision, retain supporting evidence and notify changes under the applicable rules. The institution’s existing regulatory reporting, capital and governance obligations continue to apply independently.

This determination is not 'licence inventory' that can be traded separately from the entity or individual. Share acquisitions, control, SMF appointments, business transfers and VoP must each have their own regulatory conditions precedent and timetable where actually triggered.

The following are specific permissions, organisational models or statutory categories covered by this topic. They do not necessarily each constitute a separate financial licence.

Does this approval amount to obtaining a new banking or insurance licence?+

No. Approval of specific matters, individual functions and permissions under rules differ from financial authorisation of a new institution. The assessment must be based on actual activities and the legal basis applicable to this item.

Can registration as a company director replace a regulatory decision?+

No. Company registration, appointment of directors and regulatory approval are separate procedures. Where prior approval is required, a decision must first be obtained under the applicable rules.

Is approval or a fixed timeframe guaranteed?+

No guarantee can be given. Completeness, requests for further documents, legal conditions and case-specific assessment affect the decision. The statutory periods published here are not a promise of approval.

Primarily based on FCA, PRA / Bank of England, GOV.UK and current legislation. Older third-party guides supplied by users are used to organise business material and do not override the latest official requirements.
