Donation-based and non-financial reward-based crowdfundingGuide to applications and ongoing compliance

Donation-based and Reward-based Crowdfunding

For platforms involving public donations with no financial return, or pre-purchases of goods or rewards in kind, crowdfunding itself is generally not an investment activity regulated by FCA. If the purported reward is in substance interest, equity, tradable debt or collective investment returns, it should be reclassified according to the actual rights; charitable or pre-sale labels cannot be used to evade regulation. [1]

For platforms involving public donations with no financial return, or pre-purchases of goods or rewards in kind, crowdfunding itself is generally not an investment activity regulated by FCA. If the purported reward is in substance interest, equity, tradable debt or collective investment returns, it should be reclassified according to the actual rights; charitable or pre-sale labels cannot be used to evade regulation.[1]

This entry applies only to genuine donation or goods presale / in-kind reward activities where the actual contracts, platform functions and fund flows have been confirmed not to involve regulated investment, lending or payment services. It explains the regulatory perimeter; it is neither a FCA crowdfunding permission nor a route for applying for a purported limited permission. Donors receive no investment returns, while advance purchasers receive the agreed goods or in-kind rewards. Company registration, consumer contracts, advertising, delivery, refunds and personal information obligations must still be addressed separately. The information verification date is 2026-11-07; this does not constitute verification of any specific project, fees or premises.[1] [26]

A genuine donation provides money to support an activity or purpose without acquiring equity, loan claims, interest or collective investment returns. Rewards in kind involve receiving agreed goods or non-financial rewards rather than investable rights. The existing FCA crowdfunding classification distinguishes donations, prepayments/rewards, lending and investment. This page covers only non-financial activities within the first two categories and does not incorporate statutory investment exemptions, charitable investment or small-scale financing.[1] [26]

If a purported reward is in substance equity, a debt security, repayment of principal with interest, or a distribution of returns from assets centrally managed by others, the investment, lending or fund perimeter should be reassessed based on the actual rights. Where a platform matches lenders and borrowers and arranges principal and interest payments, collection or enforcement of rights, the definition of an electronic system in relation to lending must also be reassessed; the project name alone is not determinative.[2] [26]

Where a platform receives, controls or transfers money for third parties, or provides wallet, stored-value or payment functions, the payment and electronic money regimes must also be assessed independently. This page does not establish an exclusion merely because a third-party payment provider is used, collections and payments are outsourced, a segregated account is established or the contract describes the platform as an agent. This page may be relied on only where the actual business does not involve the relevant regulated services. Otherwise, the appropriate regime must be reviewed; this page must not be treated as a whole-business exemption.[1] [306]

Select the minimum sufficient combination of permissions that lawfully supports the actual business, client scope and financial responsibilities, rather than treating the broadest permissions or fastest approval as the sole objective.

  • Genuine donations allow supporters to fund defined projects or purposes without creating a financial investment relationship. Project operators should still explain the beneficiaries, use of funds, platform fees and arrangements if fundraising fails. Public-benefit objectives must not be promoted as FCA endorsement or a guarantee of fund safety.[1] [26]

  • Product pre-sales or rewards in kind can gather demand and arrange delivery before production, but project operators must have the capacity to support their delivery commitments. Reaching a fundraising target does not mean contractual performance is complete; orders should specify the goods, price, delivery arrangements and applicable cancellation and refund conditions.[300]

  • Accurately distinguishing fundraising, sales and financial activities helps direct resources towards project verification, contract performance and control of fund flows, rather than applying for a non-existent crowdfunding limited permission. This does not mean exemption from tax, company filings or consumer protection, nor does it guarantee the success of any project.[1] [301] [304]

  • Before launch, prepare a record of the business perimeter explaining what contributors receive, who is responsible for delivery or refunds, whether the platform is the project provider or a third-party display/service platform, and which legal entity performs each stage. Rule out investment interests, lending intermediation and regulated payment functions individually; donation or reward-in-kind labels cannot replace the contractual and systems facts.[1] [2] [26] [306]

  • If using a UK company, complete company registration, ownership and controller identification, applicable identity verification and accurate information filings according to the chosen form. Ordinary company incorporation is not financial authorisation. Sole traders, partnerships, companies limited by guarantee and other organisational forms have their own requirements; every fundraising project should not be unconditionally required to establish a UK company limited by shares.[301] [302] [308]

  • For pre-purchase or physical-reward contracts that in substance constitute sales by traders to consumers, the trader's identity and contact address, product description, tax-inclusive price, payment method, delivery charges, delivery timeframe and cancellation conditions should be made clear before the order is placed, and contract information should be provided in a form the consumer can retain. Delivery, return and refund responsibilities must be reviewed against the specific goods, contractual relationships and applicable exceptions. The crowdfunding label alone cannot justify a blanket no-refund policy, nor can cancellation rights for sales of goods be applied unconditionally to pure donations.[300]

  • Advertisements, project pages and updates to supporters should reflect the actual project, use of funds raised, fees and delivery conditions, with evidence retained to support material statements. General advertising and consumer protection requirements should be reviewed against the actual promotional content and channels used. This page does not confirm any exemption from those obligations, nor treat investment financial promotion approval as a routine procedure for pure donations or rewards in kind. Listing a page in the FCA directory must not be used to claim that a project or platform is approved by FCA.[1] [26] [300]

  • Analysis of fund flows should cover recipients, account providers, whether the platform can instruct onward transfers or refunds, actual control pending disbursement, and responsibility for refunds or payment provider failure. A bank or payment provider supplying services to a platform is a separate question from whether the platform itself supplies payment services to others. The commercial agent and technical service exclusions are conditional; this page does not confirm that any particular platform qualifies for them.[1] [306]

  • Address personal data, tax, employment and applicable anti-fraud obligations according to actual activities. An ordinary fundraising website must not automatically be treated as a MLR financial institution, nor presumed exempt from other laws. Claims of charity registration, eligibility to offer Gift Aid or applicability of special fundraising rules require separate review by organisational status, relevant UK jurisdiction and fundraising method. This page has not verified those qualifications.[18] [304] [305]

The activities on this page do not themselves trigger FCA senior management function approval, the financial institutions certification regime or a uniform requirement for a dedicated compliance officer / MLRO; the SMF appointment table for investment-based crowdfunding cannot be carried over. Where there is other regulated financial business or the activities fall within MLR, personnel requirements must be assessed independently for that business, rather than applied automatically because its name includes crowdfunding.[1] [14] [18] [26]

If using an ordinary UK private company limited by shares, meet its director, shareholder and controller requirements: generally at least one shareholder and one natural-person director, with directors meeting the statutory minimum age and appointment restrictions. General company law does not require UK-national shareholders or UK-resident directors because of the business covered on this page. Actual ownership and persons with significant control should be accurately identified, and applicable directors and PSC must complete identity verification and role linking at their respective required times. Other organisational forms must follow their own rules; the personnel checklist for a company limited by shares cannot be applied to them.[301] [302] [308]

Operational responsibilities for project verification, delivery, refunds, complaints, accounting, data processing and supplier oversight should be clearly assigned, with sufficient capability and resources to fulfil commitments. This is an allocation of responsibilities suited to the actual business, not a new FCA-approved role introduced by this page. The actual duties, contact channels and eligibility to work of remote or overseas personnel should be verified separately; nominal directors or address services alone cannot be guaranteed to satisfy all operating requirements.

Where the actual business is confirmed to consist solely of the non-financial activities on this page, donation-based or reward-in-kind crowdfunding does not itself create a FCA crowdfunding regulatory capital floor. Capital amounts for P2P, investment firms or public offer platforms should not be displayed. This conclusion applies only to the activities on this page and is not a zero-capital determination for all business of the operating entity.[1] [26]

If an ordinary private company limited by shares is used, its share capital and shareholders' subscription liabilities are governed by company law and its articles; minimum registered share capital is not equivalent to the operating funds needed to complete the project. Budget separately for goods production, delivery, refunds, platform fees, taxes and business closure costs, and distinguish own funds, donations, advance sales payments and money held for third parties. Amounts still subject to delivery or refund obligations must not be treated directly as distributable profits.[301] [300]

If handling funds actually constitutes payment or electronic money services, or returns become lending, securities or other regulated investments, the corresponding permissions, capital and fund protection conditions should be reassessed before activities begin. This page does not provide substitute amounts for those regimes or guarantee account opening, service charges or the final project budget.[1] [306]

The non-financial activities on this page do not themselves carry a specified principal place of business requirement for FCA investment authorisation, nor any resulting rule requiring an office to be rented in London. A UK company must still provide an appropriate registered office address meeting company law requirements in the relevant registration jurisdiction and ensure official documents can actually be received and forwarded; a registered office service must not be used as evidence of verified physical offices, employees or substantive UK operations.[1] [26] [301]

Businesses selling to consumers should identify the actual contracting entity and provide the required business contact address, distinguishing the registered office, day-to-day operating location, delivery/returns location and payment service provider location. Remote operations or overseas projects should clarify who bears contractual and support responsibilities. Whether an overseas organisation requires UK registration, tax or other compliance arrangements must be reviewed separately according to its actual presence and transactions; fundraising in the UK alone does not establish a requirement to set up a UK subsidiary.[300] [301]

  • Retain an explanation of activity boundaries, a list of contractual rights, project pages and funds flow diagrams demonstrating that donations provide no financial return and rewards in kind do not constitute investment or lending, and specifying the actual roles of the platform and payment service providers. These materials support business review, not an application for a non-existent FCA crowdfunding exclusion.[1] [2] [26] [306]

  • If using a company, prepare the corresponding incorporation documents, articles, shareholder or member details, controller information, an appropriate registered address and applicable identity verification materials. Company and personnel documents should be prepared according to the organisational form and current filing requirements; investment-based crowdfunding SMF application forms or proof of regulatory capital are not listed as mandatory documents for this page.[301] [302] [308]

  • Donation projects should retain records of beneficiary confirmation, fundraising purposes, charges, changes in use of funds and arrangements where fundraising fails or implementation is impossible. Pre-sale projects should retain product descriptions, pricing, production and delivery evidence, order confirmations, consumer cancellation/refund information and fulfilment records. The two types of contract must not use a single unconditional no-refund template.[300]

  • Retain agreements allocating payment collection, payment execution and refund responsibilities, account provider information, reconciliation records, the platform’s actual control permissions and supplier exit arrangements. A contract with a third-party payment provider does not by itself prove that the platform is outside payment regulation; any payment exclusion that has not been established should be separately reviewed before launch.[1] [306]

  • Prepare substantiation for advertising claims, complaint-handling records, explanations of personal data processing, accounting records and business closure arrangements that match the actual business. This does not list CASS policies, financial institution annual Consumer Duty reports or a uniform AML annual report as routine FCA materials for donation-only or non-financial reward platforms; general company, consumer and data obligations still apply.[1] [26] [300] [304] [305]

This is provided as a reference for organising the project; it cannot replace current official application forms or case-specific requests for additional materials. Please do not send identity documents or customer records through website forms.

  • First confirm the actual returns and contractual liabilities of each type of project, and check whether the platform also arranges investments, lending, receipt and onward transfer of funds, or stored value. Proceed to the following business preparation process only once the activities have been confirmed as non-financial activities covered by this page. Functions whose regulatory perimeter remains unclear should not yet be launched on the basis of this page.[1] [2] [26] [306]

  • Next, select an appropriate operating entity. If a UK company needs to be formed, prepare its name, address, constitutional documents, ownership information and applicable identity verification in accordance with the company registration procedure. For an existing entity, check its operating and filing status. Financial authorisation or individual function approval applications are not routinely submitted for the activities on this page.[301] [302]

  • Then complete the arrangements for projects, consumers and responsibility for funds: specify the use of funds raised or goods pre-sold, charges, delivery, cancellation and refunds; identify the actual account provider and responsibility at each stage of the funds flow. Outsourcing payments is not an automatic basis for exclusion; contracts and system controls must be examined together.[1] [300] [306]

  • Before launch, check consistency between webpages and contracts, test order confirmation, receipts and payments, delivery, refunds and complaints channels, and establish traceable business records. The activities on this page do not give rise to a FCA approval step, and successful company registration cannot replace preparation for performance and other compliance requirements.[26] [300] [301]

  • Once operating, continuously check project progress, use of funds, delivery and refunds, and address unfinished projects, undelivered orders, remaining funds and data when the business ceases. Any changes to financial functions, returns or control over funds should first undergo a fresh perimeter analysis. Where relevant permissions are required, follow the corresponding process rather than continuing to operate under the status described on this page.[1] [2] [300] [306]

There is no FCA crowdfunding application decision period for the genuinely non-financial activities covered by this page; financial authorisation deadlines for complete or incomplete applications do not apply to this business preparation route. Nor is there a uniform preparation period requiring these activities to await FCA approval before commencing. Company registration, identity verification, account opening, project preparation and other applicable procedures should be scheduled separately, without promising a fixed launch date or successful account opening.[1] [26] [301] [302]

Pre-sale contracts should specify delivery arrangements before orders are placed, with cancellation, refund and delivery deadlines determined by the goods sold, contract and applicable exceptions. The cooling-off period for FCA high-risk investments cannot be transferred to physical rewards. Whether pure donations can be withdrawn and how funds are handled if their purpose cannot be achieved must be reviewed against the actual terms and applicable law; goods order rules cannot simply be applied.[300]

Information verified as at 2026-11-07. The regulatory perimeter, company filings and applicability to specific projects must still be rechecked at implementation. If the activity changes to financial business, use the separate licensing procedures and timetable applicable at that time, rather than carrying over this page’s conclusion that no financial application is required.

For an entity conducting only the non-financial activities on this page, shareholder or director changes do not automatically trigger FCA change-of-control approval or approval of financial function personnel by virtue of the crowdfunding activity itself. This page does not presume financial institution shareholding approval thresholds, review periods or forms. Where a UK company is used, director appointments and removals, share and member records, PSC, addresses and other information should be updated under company law, the articles of association and applicable identity verification rules. Corporate filings and financial regulatory approvals are separate matters.[1] [26] [302] [303] [307] [308]

If the project's purpose, charges, deliverables, refund arrangements or contracting entity change, the original commitments, consumer rights and any need for notification, consent or other action should be checked. Updating terms in the back office cannot replace delivery or refund obligations already assumed. This page makes no case-specific determination of the legal consequences of changes to the use of pure donations.[300]

Adding equity, interest, debt claims, profit distributions, lending intermediation, wallets or third-party payment collection and disbursement functions, or changing how the platform actually controls funds, requires a fresh review of the financial permissions perimeter first. If the target entity has other regulated business, review the change requirements for that separate status; the non-financial conclusions on this page must not be extended to the entire group.[1] [2] [26] [306]

Ongoing maintenance focuses on the use of funds raised, project authenticity, goods delivery, refunds, complaints, financial and data records, rather than financial licence renewal. The activities on this page alone do not give rise to FCA regulatory returns, financial institution annual fees, investor classification tests or financial institution consumer responsibility reports; nor can the CASS client money regime for investment crowdfunding be applied unconditionally to ordinary donations and advance sales payments. Any separate financial activities or payment services should be handled under their own applicable rules.[1] [26] [306]

Where a UK company is used, it must still file accounts and confirmation statements according to its company status, update ownership and controller information, and retain applicable member records. Tax, VAT and payroll filings depend on the nature of income, operational facts and employment arrangements. Donations, sales of goods and platform commissions cannot all be recorded as tax-exempt income merely based on how the funds are labelled. This page does not confirm charitable tax treatment or Gift Aid eligibility.[303] [304] [307] [308]

Continually check actual use of funds, fees and delivery progress against advertisements and project pages, handle delays and cancellations or refunds under consumer contracts, and retain reconciliation and allocation-of-responsibility evidence. When processing supporters’ personal data, implement applicable data protection obligations and assess ICO registration or exemption. A charitable purpose or small project size does not itself remove these obligations.[300] [305]

Reassess the regulatory perimeter whenever adding a project type, financial return or payment collection or disbursement function. Where projects present risks or funds cannot be handled as agreed, it is advisable to suspend the relevant new business and resolve existing obligations. Closing a website does not discharge obligations concerning unfulfilled orders, refunds or the use of donations. The business closure plan should specify who will continue handling records, funds and support.[1] [300] [306]

Acquiring a platform covered by this page involves due diligence on an operating entity or asset transaction, not purchasing a FCA crowdfunding licence. First verify the target’s actual contracts, historical projects, fund flows and all business activities. Where it conducts only the non-financial activities covered here, prior FCA change-in-control approval should not automatically be made a completion condition, nor should the absence of FRN be treated as evidence that its purely donation-based or pre-sale business is unlawful.[1] [26]

Review company status, member and controller records, restrictions in the articles, directors and applicable identity verification, and arrange company change filings. Check unfinished projects, undelivered goods, refunds and disputes, funds held for third parties, tax and supplier debts, distinguishing the assumption of liabilities in share acquisitions from asset acquisitions. Remaining funds raised or advance payments must not be treated, without verification, as net cash freely withdrawable by the seller.[300] [301] [303] [304] [307] [308]

Change-of-control or contract assignment clauses involving funding service providers, project owners and suppliers should be checked individually; completion does not guarantee that accounts and payment services will remain available. Customer data migration requires a review of data protection requirements, and historical advertising and fundraising commitments do not automatically disappear when shareholders change.[300] [305] [306]

If the target is found to have investment, lending, payment or other regulated status, or the buyer intends to add these functions after completion, first refer to the corresponding regime to verify actual permissions and transaction conditions. This page does not confirm any specific target's permissions, debts, charitable status or other acquisition approvals. Other corporate, tax and transaction reviews should be reassessed against the actual target, without assuming a universal exemption.[1] [2] [26] [306]

View the complete process for acquiring a licensed company

The following are specific permissions, organisational models or statutory categories covered by this topic. They do not necessarily each constitute a separate financial licence.

Does donation-based or non-financial reward-based crowdfunding require an application for limited permission?+

Where actual contracts, platform functions and fund flows confirm that the business consists solely of the non-financial activities on this page, the activity itself does not require a FCA crowdfunding limited permission. This is a perimeter explanation, not simplified authorisation. If investment, lending or payment services are involved, the corresponding regime must be checked instead; this page’s conclusion can no longer be used.[1] [26] [306]

Does calling a reward in kind a reward mean it cannot become a financial investment?+

The name alone is insufficient. Genuine goods or physical rewards differ from equity, interest, debt securities, repayment of principal and interest, or returns from joint operations. Where rewards carry investment rights or the platform actually arranges lending, the actual rights and functions must be reassessed.[2] [26]

Does using a third-party payment provider prove that a platform needs no payment permission at all?+

Outsourcing alone is insufficient evidence. It is necessary to check who contracts, receives and controls funds, instructs onward transfers and refunds, and whether the platform provides payment or electronic money services to others. The commercial agent and technical service exclusions each have their own conditions. This page does not confirm that any particular platform meets any exclusion.[1] [306]

Once a crowdfunding target is reached, can all refunds for pre-ordered goods be refused?+

No. A presale contract that genuinely constitutes a trader-to-consumer sale must still address applicable cancellation, delivery and refund obligations. Exceptions for particular goods and contracts require separate verification. Pure donations do not automatically carry the same cancellation rights as sales of goods, and a single refund conclusion cannot be applied interchangeably to both arrangements.[300]

Do shareholders, directors and operational heads need individual FCA approval?+

The activities on this page alone do not require application of the financial institution SMF and certification checklists. UK companies must still meet their director, controller and identity verification requirements. If they also conduct regulated business or business within the scope of MLR, assess the separate personnel regime for that business.[14] [18] [26] [301] [302] [308]

Must FCA change-in-control approval be obtained before changing shareholders or acquiring a platform?+

The non-financial crowdfunding activities on this page do not automatically give rise to that approval requirement. Changes to company shareholdings, members, PSC and directors remain subject to company rules. If the target actually has a separate financial status or financial functions are added after acquisition, an independent review is required; the non-financial conclusion cannot be extended to the whole business.[1] [26] [303] [307] [308]

Is a public-benefit project automatically a charity, tax-exempt or eligible to claim Gift Aid?+

This is not a conclusion that this page can confirm. Charitable status, tax eligibility and applicable fundraising requirements must be reviewed according to the organisation, relevant UK jurisdiction, fundraising method and use of funds. This page only explains the boundaries of non-financial crowdfunding; it does not grant or confirm these statuses.[1] [26]

Does the absence of a financial regulatory application mean there are no operating time or cost requirements?+

No. Entity registration, identity verification, account provider checks, project performance and applicable consumer deadlines each apply separately. Project operators must also bear production, delivery, refund, tax and business closure costs. This page provides no fixed launch deadline, government or service price guarantee, and does not establish that physical office premises exist.[300] [301] [302]
